AVISO AOS ACIONISTAS

A Vulcabras S.A. (VULC3, “Vulcabras” ou “Companhia”), vem informar aos seus acionistas e ao mercado em geral que o Conselho de Administração da Companhia, em reunião realizada nesta data, aprovou o pagamento aos acionistas de dividendos intermediários com base no saldo de reservas de lucros estatutária apurado no balanço anual referente ao exercício social encerrado em 31 de dezembro de 2023, no valor bruto de R$ 0,15 (quinze centavos de real) por ação, considerando as ações da Companhia em circulação nesta data, correspondente ao valor bruto total R$ 41.083.500,00 (quarenta e um milhões, oitenta e três mil e quinhentos reais), nos seguintes termos (“Dividendos Intermediários”):

(i) o pagamento dos Dividendos Intermediários terá como beneficiários os acionistas que estiverem inscritos nos registros da Companhia na data de 14 de maio de 2024, consideradas as negociações realizadas até esta data, inclusive, e serão pagos em 29 de maio de 2024. As ações de emissão da Companhia passarão a ser negociadas ex-Dividendos Intermediários a partir de 15 de maio de 2024, inclusive;

(ii) considerando as ações em circulação da Companhia existentes nesta data, o valor de Dividendos Intermediários a ser pago é de R$ 0,15 (quinze centavos de real) por ação da Companhia, a serem creditados na conta bancária fornecida pelo acionista ao Banco BTG Pactual Serviços Financeiros S.A. DVTM , instituição responsável pela escrituração das ações da Companhia;

(iii) os pagamentos relativos às ações da Companhia depositadas em instituições prestadoras dos serviços de custódia serão creditados conforme procedimentos adotados pelas instituições depositárias;

(iv) o montante total bruto dos Dividendos Intermediários será imputado e deduzirá dos dividendos obrigatórios referentes ao exercício social que encerra em 31 de dezembro de 2024 e não será objeto de qualquer atualização monetária;

(v) o valor bruto total dos dividendos poderá ser ajustado em razão do programa de recompra de ações da Companhia.

NOTICE TO SHAREHOLDERS

Vulcabras S.A. (VULC3, “Vulcabras” or “Company”), informs its shareholders and the market in general that the Company’s Board of Directors, at a meeting held on this date, approved the payment to shareholders of interim dividends based on the balance of retained earnings statutory in the balance sheet as at December 31, 2023, in the gross value of R$ 0,15 (fifteen cents reais) by share, corresponding to the gross amount of R$ 41.083.500,00 (forty-one million, eighty-three thousand and five hundred reais), in the following terms (“Interim Dividends”):

(i) the beneficiaries of payment of the Interim Dividends will be the shareholders registered in Company’s records on May 14, 2024, considering the negotiations carried out up to and including this date, and the dividends will be paid on May 29, 2024. The shares issued by the Company will be traded ex-Interim Dividends from and including May 15, 2024;

(ii) considering the Company’s outstanding shares existing on this date, the amount of Interim Dividends to be paid is R$ 0.15 (fifteen cents reais) per share, to be credited to the bank account provided by the shareholder to Banco BTG Pactual Serviços Financeiros S.A. DVTM , the institution responsible for the bookkeeping of the Company’s shares;

(iii) payments related to the Company’s shares deposited in institutions providing custody services will be credited in accordance with the procedures adopted by the depositary institutions;

(iv) the total gross amount of Interim Dividends will be imputed and deducted from the mandatory dividends for the fiscal year that will end on December 31, 2023 and will not be subject to any monetary restatement;

(v) the total gross amount of dividends may be adjusted due to the Company’s share repurchase program.
