Juros sobre o Capital Próprio

São Paulo, 25 de julho de 2025 - A São Martinho S.A (B3: SMTO3), (“Companhia”), comunica que, em Reunião do Conselho de Administração realizada nesta data, foi aprovado o pagamento de juros sobre capital próprio (“JCP”), no valor bruto de R$ 150.000.000,00 (cento e cinquenta milhões de reais), equivalente a R$ 0,456512899 por ação, com retenção de Imposto de Renda na Fonte. O valor do JCP por ação poderá sofrer alteração até a data do pagamento em decorrência da variação da quantidade de ações em tesouraria.

O montante de JCP será pago aos acionistas no dia 08.08.2025, sem atualização monetária, e será deduzido dos dividendos do exercício social a ser encerrado em 31.03.2026.

Terão direito ao recebimento de JCP os acionistas da posição acionária verificada em 30.07.2025, sendo as ações negociadas “ex” JCP a partir de 31.07.2025.

Aos acionistas custodiados no escriturador BTG Pactual Serviços Financeiros S.A. DTVM, os créditos serão disponibilizados de acordo com o domicílio bancário fornecido à instituição financeira, a partir da data de início do pagamento dos JCP. Aos acionistas custodiados na B3 S.A. - Brasil. Bolsa. Balcão, os JCP serão pagos e repassados por intermédio dos agentes de custódia.

Interest on Equity

São Paulo, July 25, 2025 - São Martinho S.A (B3: SMTO3) (“Company”) hereby announces that the Board of Directors Meeting held on this date, approved the payment of interest on equity (“Interest”) in the gross amount of one hundred fifty million reais (R$150,000,000.00), equivalent to 0.456512899 per share, with income tax withheld at source. The Interest amount per share may change until the date of payment due to variations in the number of treasury shares.

The Interest will be paid to shareholders on August 08, 2025, without inflation adjustment, and will be deducted from dividends for the fiscal year ending on March 31, 2026.

Shareholders of record on July 30, 2025, will be entitled to receive the Interest, and shares will be traded ex-Interest starting from July 31, 2025.

For shareholders with shares held in custody at BTG Pactual Serviços Financeiros S.A. DTVM, payment will be credited based on the bank account information provided to the financial institution, from the commencement of the period for payment of the Interest. For shareholders with shares held in custody at B3 S.A. - Brasil, Bolsa, Balcão, the Interest will be paid to the institution, which will transfer it to shareholders through the custody agents.
