AVISO AOS ACIONISTAS

A Lavvi Empreendimentos Imobiliários S.A, comunica aos seus acionistas que, em reunião do Conselho de Administração realizada nesta data, foi aprovada a distribuição de dividendos intermediários e intercalares no montante total de R$120.000.000,00 (cento e vinte milhões de reais), com base respectivamente: i) nas reservas de lucros conforme apurado nas demonstrações contábeis levantadas em 31 de dezembro de 2020; e ii) demonstrações financeiras da Companhia, referentes ao período findo em 30 de junho de 2021, e representando, nesta data, R$0,57639309456 para cada ação ordinária de emissão da Companhia ex-tesouraria.

A conjuntura operacional favorável reportada nos últimos exercícios permitiu um fluxo de recebimento acima do esperado nos projetos lançados e em andamento, fato que ajudou a mitigar, substancialmente, o consumo de caixa esperado para aquisição de terrenos. Foram mais de R$2,7 bilhões em VGV potencial de áreas adquiridas desde o IPO, culminando em um landbank que hoje supera os R$4,2 bilhões. Assim, considerando o atual momento operacional e de caixa, a Companhia entende que a distribuição maximiza a geração de valor para seus acionistas, otimizando sua estrutura de capital.

Desta maneira, observe-se que:

1. Terão direito ao dividendo declarado as pessoas inscritas como acionistas da Companhia na data-base de 18 de outubro de 2021, respeitadas as negociações realizadas até essa data, inclusive.

 2. As ações da Companhia serão negociadas ex-dividendos a partir de 19 de outubro de 2021, inclusive.

 3. O pagamento dos dividendos será realizado em moeda corrente nacional, no dia 27 de outubro de 2021.

 4. Não haverá atualização monetária ou incidência de juros entre a data da declaração dos dividendos e a data do efetivo pagamento.

 5. Na data do pagamento do dividendo, conforme definido pela Diretoria, a Companhia creditará o dividendo devido a cada acionista, segundo o número de ações ordinárias de sua titularidade na data-base de 18 de outubro de 2021 (respeitadas as negociações realizadas até esse dia, inclusive), de acordo com o domicílio bancário fornecido ao Itaú Corretora de Valores S.A., instituição responsável pela escrituração das ações da Companhia.

 6. Para os acionistas cujo cadastro não contenha a inscrição do número do CPF/CNPJ ou a indicação de “Banco/Agência/Conta Corrente”, os dividendos somente serão creditados depois da atualização cadastral e nos prazos determinados pelo Itaú Corretora de Valores S.A.

 7. Os acionistas cujas ações estão depositadas em instituições prestadoras dos serviços de custódia de valores mobiliários terão seus dividendos creditados conforme procedimentos adotados pelas instituições depositárias.

 8. O recebimento do dividendo será isento de Imposto de Renda, de acordo com o art. 10 da Lei n.º 9.249, de 1995.

NOTICE TO SHAREHOLDERS

Lavvi Empreendimentos Imobiliários S.A. hereby informs the shareholders and the market in general that, at a meeting held on the date hereof, the Board of Director’s declared, ad referendum the Annual Shareholders’ Meeting, the payment of intermediary and interim dividends by the Company, in the total amount of R$120,000,000.00 based on profit reserves, as verified in i) the financial statements as of December 31, 2020, and ii) the financial statements as of June 30, 2021, equivalent to R$0.57639309456 per common share issued by the Company excluding treasury shares.

The favorable operating conjuncture reported in the last and current year allowed a better than expected receivables inflow in the launched and under construction projects, fact that helped to mitigate, substantially, the cash burn expected for land acquisition. There were more than R$2.7 billion in potential PSV acquired since the IPO, leading to a landbank that surpasses the R$4.2 billion in the date hereof. In this way, considering the current operating and cash moment, the Company understand that such distribution generates value for its shareholders, by optimizing the capital structure.

Regarding the dividends, observe that:

 1. People registered as shareholders of the Company on the base date of October 18^th, 2021, shall be entitled to the declared dividend, respected and including negotiations performed before or on such date.

 2. The shares of the Company shall be traded “ex-dividends” as of October 19^th, 2021 (including).

 3. The payment of dividends in Brazil will be made in national currency, on the date of October 27, 2021.

 4. There will be neither monetary adjustment nor interest rate between the date of the declaration of dividends and the date of the effective payment.

 5. On the date of the dividend’s payment, as defined by the Executive Board, the Company will credit the dividend due to each shareholder, according to the number

of common shares of its ownership on the base date of October 18^th, 2021 (respecting the negotiations carried out until that day, inclusive), according to the banking address provided to Itaú Corretora de Valores S.A., the institution responsible for the bookkeeping of the Company’s shares.

 6. Shareholders whose registration does not include the CPF/CNPJ number or information related to the “Bank/Agency/Current Account” shall only receive their Notice to Shareholders dividends after such register is updated and on the deadlines determined by Itaú Corretora de Valores S.A.

 7. Shareholders whose shares are kept by institutions providing securities custody services will have their dividends credited in accordance with the procedures adopted by such depositary institutions.

 8. Receivable dividends shall be exempted from Income Tax pursuant to article 10 of Law n.º 9.249 of 1995.
