AVISO AOS ACIONISTAS

A BLAU FARMACÊUTICA S.A. (“Blau” ou “Companhia”), comunica aos Senhores Acionistas que, em Reunião do Conselho de Administração realizada nesta data, deliberou-se pela distribuição de Juros sobre Capital Próprio (“JCP”) no montante total bruto de BRL 33.218.946,48 (trinta e três milhões, duzentos e dezoito mil, novecentos e quarenta e seis Reais e quarenta e oito centavos). Excluídas as ações em tesouraria, o valor bruto a ser pago por ação é de BRL 0,1869586240, sujeito à retenção do imposto de renda na fonte à alíquota de 15% (quinze por cento).

Do montante total apurado dos JCP ora deliberado, serão pagos aos acionistas R$ 12.338.074,65 (doze milhões, trezentos e trinta e oito mil e setenta e quatro Reais e sessenta e cinco centavos), em parcela única, em 14 de julho de 2023, ad referendum da Assembleia Geral Ordinária que aprovar as contas do exercício a findar em 31 de dezembro de 2023. O valor remanescente será pago até 31 de dezembro de 2023.

Tal benefício aplica-se à posição acionária do dia 27 de junho de 2023, sendo certo que, a partir de 28 de junho de 2023, as ações da Companhia serão negociadas “ex-juros sobre capital próprio”.

Os JCP declarados, líquidos do imposto de renda na fonte, serão imputados aos dividendos mínimos obrigatórios relativos ao exercício de 2023, conforme artigo 9º, parágrafo 7º, da Lei 9.249/95; no artigo 2°, da Resolução CVM 143/2022; e na alínea “b” do Artigo 28 do Estatuto Social da Companhia.

NOTICE TO SHAREHOLDERS

BLAU FARMACÊUTICA S.A. (“Blau” or “Company”), hereby announces to its shareholders that, in the Board of Directors’ Meeting held today, was approved the payment of interest on equity in the total gross amount of BRL 33.218.946,48. Excluding treasury shares, the gross amount per share to be paid is BRL 0. 1869586240 subject to withholding income tax at the rate of 15%.

Of the total amount determined by the interest on equity hereby announced, BRL 12,338,074.65 will be paid to shareholders, in a single installment, on July 14^th, 2023, ad referendum of the Ordinary General Meeting that approves the accounts for the year ending on December 31, 2023. The remaining amount will be paid until December 31, 2023.

Those who own shares of the Company will have the right of payment according to the shareholding position as of March June 27^th, 2023. From June 28^th, 2023, the Company´s shares will trade excluding interest on equity.

The announced interest on equity, net of withholding income tax, will be imputed to the mandatory minimum dividends for fiscal year 2023, pursuant to article 9, paragraph 7 of Law 9,249/95; article 2 of CVM Resolution 143/202; and item “b” of Article 28 of the Company's Bylaws.
