AVISO AOS ACIONISTAS

A BLAU FARMACÊUTICA S.A. (“Blau” ou “Companhia”), comunica aos Senhores Acionistas que, em Reunião do Conselho de Administração realizada no dia 30/06/2022, deliberou-se pela aprovação do lançamento do valor total de BRL39.573.584,89 (trinta e nove milhões, quinhentos e setenta e três mil, quinhentos e oitenta e quatro reais e oitenta e nove centavos) na conta de Juros Sobre Capital Próprio no balanço da Companhia bem como a declaração e o pagamento aos acionistas da parcela de referidos juros sobre o capital próprio, correspondente ao valor calculado com base no balanço de 31 de março de 2022, à conta de lucros existentes no balanço da Companhia levantado em 30 de junho de 2022, no valor bruto total de BRL 28.612.408,83 (vinte e oito milhões, seiscentos e doze mil, quatrocentos e oito reais e oitenta e três centavos), ("JCP Declarados”), correspondente ao valor bruto de BRL 0,1594948468 por ação, sujeito à retenção do imposto de renda na fonte à alíquota de 15% (quinze por cento). A destinação do saldo remanescente na conta de Juros Sobre Capital Próprio, no valor de BRL 10.961.176,06 (Dez milhões, novecentos e sessenta e um mil, cento e setenta e seis reais e seis centavos), será deliberada posteriormente, por este Conselho ou por Assembleia Geral de Acionistas, nos termos do Estatuto Social, sendo que este valor não será imputado ao valor do dividendo mínimo obrigatório até que sua destinação seja aprovada.

O pagamento dos JCP Declarados ora deliberado deverá ser realizado em parcela única, em 15 de julho de 2022. Tal benefício aplica-se à posição acionária do dia 07/07/2022, sendo certo que, a partir de 08/07/2022, as ações da Companhia serão negociadas “ex juros sobre capital próprio”. Os JCP Declarados, líquidos do imposto de renda na fonte, serão imputados aos dividendos mínimos obrigatórios relativos ao exercício de 2022, conforme artigo 9º, parágrafo 7º, da Lei 9.249/95; item III, da Deliberação CVM 683/2012; e alínea “b” do Artigo 28 do Estatuto Social da Companhia.

NOTICE TO SHAREHOLDERS

BLAU FARMACÊUTICA S.A. (“Blau” or “Company”), hereby announces to its shareholders that, in the Board of Directors’ Meeting held on June 30^th, 2022, was decided to approve the registration of the total amount of BRL39,573,584.89 (thirty-nine million, five hundred and seventy-three thousand, five hundred and eighty-four reais and eighty-nine cents) in the Interest on Equity account in the Company's balance sheet as well as the declaration and payment to shareholders of the installment of said interest on capital corresponding to the amount calculated based on the balance sheet as of March 31, 2022, to the account of existing profits in the Company's balance sheet as of June 30, 2022, in the total gross amount of BRL 28,612,408.83 (twenty-eight million, six hundred and twelve thousand, four hundred and eight reais and eighty-three cents), ("Declared Interest on Equity"), corresponding to the gross amount of BRL 0.1594948468 per share, subject to withholding income tax at the rate of 15% (fifteen percent). The allocation of the balance that remains in the Interest on Equity account, in the amount of BRL 10,961,176.06 (Ten million, nine hundred and sixty-one thousand, one hundred and seventy-six reais and six cents), will be resolved later, by this Board or by the Annual Shareholders' Meeting, pursuant to the Bylaws, and this amount will not be attributed to the amount of the minimum mandatory dividend until its allocation is approved.

The payment of the declared interest on equity resolved herein shall be carried out in a single installment, on July 15^th, 2022. Those who own shares of the Company will have the right of payment according to the shareholding position as of July 7^th, 2022. From July 8^th, 2022 the company´s shares will trade excluding interest on equity. The declared Interest on equity, net of withholding income tax, will be imputed to the mandatory minimum dividends for fiscal year 2022, pursuant to article 9, paragraph 7, of Law 9,249/95; item III of CVM Resolution 683/2012; and item “b” of Article 28 of the Company's Bylaws.
