COMUNICADO AO MERCADO

A Caixa Seguridade Participações S.A. (“Caixa Seguridade” ou “Companhia”) comunica aos seus acionistas e ao mercado em geral que o Conselho de Administração da Companhia aprovou, nesta data, Proposta de Destinação do Lucro Líquido do exercício findo em 31 de dezembro de 2023, a ser apreciada na próxima Assembleia Geral Ordinária (“AGO”), prevista para ocorrer em 25 de abril de 2024, que contempla a distribuição de: (a) Dividendos Mínimos Obrigatórios no valor de R$ 1.278.348.494,06 (um bilhão, duzentos e setenta e oito milhões, trezentos e quarenta e oito mil, quatrocentos e noventa e quatro reais e seis centavos), e (b) Dividendos Adicionais Propostos no valor de R$ 373.392.801,31 (trezentos e setenta e três milhões, trezentos e noventa e dois mil, oitocentos e um reais e trinta e um centavos). O valor dos Dividendos Mínimos Obrigatórios somados aos Dividendos Adicionais Propostos, se aprovados, totalizará o montante de R$ 1.651.741.295,37 (um bilhão, seiscentos e cinquenta e um milhões, setecentos e quarenta e um mil, duzentos e noventa e cinco reais e trinta e sete centavos), conforme segue:

Aprovada a proposta, os Dividendos Mínimos Obrigatórios e os Dividendos Adicionais Propostos serão pagos em 8 de maio de 2024, e terão como base a posição acionária de 26 de abril de 2024. Dessa forma, as ações de emissão da Caixa Seguridade passarão a ser negociadas “ex-dividendos” a partir de 29 de abril de 2024.

Esclarece-se que os Dividendos Mínimos Obrigatórios serão atualizados pela taxa SELIC da data do encerramento do exercício social, 31 de dezembro de 2023, até a data do pagamento acima referida (8 de maio de 2024). Haverá retenção do imposto de renda na fonte sobre a atualização referida, de acordo com a legislação vigente. Os acionistas dispensados da referida tributação deverão comprovar esta condição até 26 de abril de 2024 em uma agência do Banco Bradesco S.A., instituição financeira depositária das ações de emissão da Companhia.

Dessa forma, considerando os dividendos antecipados, já distribuídos em 6 de novembro de 2023, no montante de R$1.500.000.000,00 (um bilhão e quinhentos milhões de reais), a Proposta de Destinação de Resultados a ser submetida para a AGO prevê a distribuição equivalente a 90,0% do lucro líquido ajustado do exercício de 2023, considerando o padrão contábil CPC 11 (IFRS 4), a título de remuneração aos acionistas sob a forma de dividendos, totalizando o valor de R$ 3.151.741.295,37 (três bilhões, cento e cinquenta e um milhões, setecentos e quarenta e um mil, duzentos e noventa e cinco reais e trinta e sete centavos).

Maiores detalhes sobre o tema da destinação do lucro líquido do exercício, incluindo aquelas informações indicadas no Anexo A da Resolução CVM nº 81/2022, conforme alterada, serão informados na Proposta da Administração a ser oportunamente divulgada nos termos da legislação em vigor.

NOTICE TO THE MARKET

Caixa Seguridade Participações S.A. (“Caixa Seguridade” or “Company”) hereby informs its shareholders and the market in general that the Company's Board of Directors approved on this date the Proposal for Allocation of Net Income for the fiscal year ended December 31, 2023, to be approved at the next Ordinary General Meeting (“OGM”) scheduled to take place on April 25, 2024, which includes the following distribution: (a) Amount of BRL 1,278,348,494.06 (one billion, two hundred and seventy-eight million, three hundred forty-eight thousand, four hundred and ninety-four reais and six cents) Mandatory Minimum Dividends, and (b) Amount of BRL 373,392,801.31 (three hundred and seventy-three million, three hundred and ninety-two thousand, eight hundred and one reais and thirty-one cents) Proposed Additional Dividends. If approved, the sum of the Mandatory Minimum Dividends with the Proposed Additional Dividends totals the amount of BRL 1,651,741,295.37 (one billion, six hundred and fifty-one million, seven hundred and forty-one thousand, two hundred and ninety-five reais and thirty-seven cents), as follows:

Once approved the Proposal, both the Mandatory Minimum Dividends and the Proposed Additional Dividends will be paid on May 8, 2024, based on the shareholder position of April 26, 2024. Thus, the shares will be ex-dividends on April 29, 2024.

The Mandatory Minimum Dividends amount will be updated by the SELIC rate from the closing date of the fiscal year (December 31, 2023) to the beforementioned payment date (May 8, 2024). There will be withholding of income tax at source on the update, in accordance with current legislation. Shareholders exempt from said taxation must prove this condition by April 26, 2024, at a branch of Banco Bradesco S.A., the depository financial institution of shares issued by the Company.

Thus, considering the anticipated dividends already distributed on November 6, 2023, in the amount of BRL1,500,000,000.00 (one billion and five hundred million reais), the Proposal for Allocation of Net Income to be approved at the OGM contains the distribution of the equivalent to 90.0% of the adjusted net income for the year 2023, according to the IFRS 4 (CPC 11) accounting standard, as remuneration to shareholders in the form of dividends, totaling the amount of BRL 3,151,741,295.37 (three billion, one hundred and fifty-one million, seven hundred and forty-one thousand, two hundred and ninety-five reais and thirty-seven cents).

Further details on the allocation of net income for the year, including the information indicated in Annex A of CVM Resolution 81/2022, as amended, will be informed in the Management Proposal to be disclosed in due course under the terms of the legislation in force.
