JUROS SOBRE CAPITAL PRÓPRIO
São Paulo, 28 de maio de 2026 - SMARTFIT ESCOLA DE GINÁSTICA E DANÇA S.A. (“Companhia”) comunica aos seus acionistas e ao mercado em geral que, em Reunião do Conselho de Administração realizada em 28 de maio de 2026, foi aprovado o pagamento de Juros sobre Capital Próprio (“JCP”) à conta da reserva de lucros, conforme apurado nas demonstrações financeiras da Companhia referentes a 31 de março de 2026, no montante total bruto de R$ 40.000.000,00 (quarenta milhões de reais), correspondente ao valor de R$ 0,06516384886 por ação, sujeito à retenção de Imposto de Renda Retido na Fonte (IRRF), com exceção dos acionistas imunes e/ou isentos, nos termos da legislação fiscal em vigor.
O pagamento do JCP, ora aprovado, será realizado em parcela única, no dia 31 de julho de 2026, sem que haja qualquer atualização monetária ou remuneração correspondente entre a data de declaração e de efetivo pagamento, de acordo com a respectiva conta corrente e domicílio bancário do acionista fornecidos ao BTG Pactual S.A., instituição responsável pela escrituração das ações da Companhia.
A data base para o direito ao recebimento do JCP será 03 de junho de 2026, sendo certo que, a partir de 05 de junho de 2026, inclusive, as ações da Companhia serão negociadas “ex-juros sobre capital próprio” na B3 S.A. - Brasil, Bolsa e Balcão. Os JCP declarados, líquidos do imposto de renda na fonte, serão imputados aos dividendos mínimos obrigatórios relativos ao exercício de 2026, conforme artigo 9º, parágrafo 7º, da Lei 9.249/95, item X, da Resolução CVM 143/2022 e do Estatuto Social da Companhia.

NOTICE TO SHAREHOLDERS
INTEREST ON EQUITY
São Paulo, May 28th, 2026 - SMARTFIT ESCOLA DE GINÁSTICA E DANÇA S.A. (“Company”) informs its shareholders and the market in general that, the Board of Directors' Meeting held on May 28th, 2026, approved the payment of Interest on Equity ("IoE"), out of the account of earnings reserve, as determined in the Company’s financial statements as of March 31st, 2026, in the total gross amount of R$ 40,000,000.00 (forty million reais), corresponding to R$ 0.06516384886 per share, subject to the withholding of Income Tax (IRRF), with the exception of shareholders that are proven to be immune or exempt, under the terms of the Tax Legislation in force.
The payment of the interest on equity, hereby approved, shall be made in a single installment, on July 31st, 2026, without any monetary adjustment or corresponding remuneration between the date of declaration and effective payment, according to the respective current account and bank domicile of the shareholder provided to BTG Pactual S.A., the bookkeeping agent of the Company's shares.
The record date for the right to receive interest on equity will be June 3rd, 2026. As of June 5th, 2026 (inclusive), the Company's shares will be traded "ex-interest on equity" on B3 S.A. - Brasil, Bolsa e Balcão. The declared interest on equity, net of income tax, will be imputed to the minimum mandatory dividends for the 2026 fiscal year, pursuant to article 9, paragraph 7, of Law 9,249/95; item X, of CVM Resolution 143/2022; and the Company's Bylaws.
