EZTEC (EZTC) - A partir de 15/05/2026, acoes ex-dividendos

AVISO AOS ACIONISTAS

São Paulo, 7 de maio de 2026 - A EZ TEC Empreendimentos e Participações S.A. (“Companhia” ou “EZTEC”) (B3: EZTC3; Bloomberg EZTC3:BZ) faz referência à reunião do Conselho de Administração realizada nesta data, às 10 horas (“RCA”), na qual foi aprovada a declaração de dividendos intermediários, com base no saldo da reserva de lucros estatutária denominada “Reserva de Expansão”, indicado nas Informações Financeiras Trimestrais da Companhia na data-base de 31 de março de 2026, no montante de R$ 28.428.523,34 (vinte e oito milhões, quatrocentos e vinte e oito mil, quinhentos e vinte e três reais e trinta e quatro centavos), correspondente a R$ 0,10249719883 por ação ordinária, desconsiderando as ações em tesouraria.

Os dividendos declarados na RCA serão pagos aos acionistas até 29 de maio de 2026, com base na posição acionária de 14 de maio de 2026 e na quantidade total de ações com direito a dividendos detidas pelos acionistas nessa data, sendo que, a partir de 15 de maio de 2026 (inclusive), as ações da Companhia passarão a ser negociadas ex-dividendos. A Companhia ressalta que, em razão das novas regras trazidas pela Lei nº 15.270/25, os valores atribuídos a acionistas podem estar sujeitos à tributação, inclusive à retenção de imposto de renda na fonte. O montante total dos dividendos intermediários ora declarados será imputado e deduzirá o valor dos dividendos obrigatórios referentes ao exercício social a ser encerrado em 31 de dezembro de 2026.

Os acionistas terão seus créditos disponíveis de acordo com o domicílio bancário fornecido ao Itaú Unibanco S.A., instituição escrituradora das ações de emissão da Companhia, na data de pagamento indicada acima. Os acionistas que possuem suas ações depositadas em Bolsa de Valores, receberão através de seus agentes de custódia (Corretoras de valores).

Para os acionistas cujos cadastros não contenham a inscrição do número do CPF/CNPJ ou a indicação de “Banco/Agência/Conta Corrente”, os dividendos somente serão creditados a partir do 3º dia útil, contado da data da atualização cadastral nos arquivos eletrônicos do Itaú Unibanco S.A., que poderá ser efetuada através de qualquer agência da rede ou nas agências especializadas abaixo relacionadas. NOTICE TO SHAREHOLDERS

São Paulo, May 7th, 2026 - EZ TEC Empreendimentos e Participações S.A. (“Company” or “EZTEC”) (B3: EZTC3; Bloomberg EZTC3:BZ) hereby refers to the meeting of the Board of Directors held on this date at 10 a.m. (“BoD”), at which the declaration of the payment of interim dividends based on the balance of the statutory profit reserve called "Reserva de Expansão", indicated in the Company's Quarterly Financial Information of March 31, 2026, in the total amount of BRL 28,428,523.34 (twenty-eight million, four hundred twenty-eight thousand, five hundred twenty-three reais and thirty-four centavos), corresponding to BRL 0.10249719883 per common share, excluding treasury shares.

The dividends declared at the BoD will be paid to the shareholders based on the Company’s shareholding position as of May 15, 2026, as follows: BRL 28,428,523.34 (twenty-eight million, four hundred and twenty-eight thousand, five hundred and twenty-three reais and thirty-four centavos), corresponding to R$0.10249719883 per common share, excluding treasury shares, to be paid by May 29, 2026. The total gross amount of interim dividends declared will be allocated to and deducted from the mandatory dividends for the fiscal year ending on December 31, 2026, and will not be subject to any monetary adjustment. Shareholders listed in the Company’s shareholder base at the close of trading on May 15, 2026, will be entitled to receive the dividends declared. It is noted that as of May 16, 2026, inclusive, the Company’s shares will be traded ex-dividends on B3 S.A. - Brasil, Bolsa, Balcão.

The dividends declared in the RCA will be paid to shareholders by May 29, 2026, based on the shareholding position as of May 14, 2026, and on the total number of shares entitled to dividends held by shareholders on that date; starting on May 15, 2026 (inclusive), the Company’s shares will begin trading ex-dividend. The Company highlights that, due to the new rules introduced by Law No. 15,270/25, the amounts distributed to shareholders may be subject to taxation, including withholding of income tax at source. The total amount of the interim dividends hereby declared will be imputed and deducted from the amount of mandatory dividends for the fiscal year ending December 31, 2026.

The shareholders will have their credits available according to the banking address provided to Itaú Unibanco S.A., the depository institution for the Company’s shares, as of the payment date set forth above. In the case of shareholders whose shares are held in the stock exchange market, it will be paid through their custody agents (Stockbrokers).

For those shareholders whose registration does not contain their corporate or individual taxpayer’s numbers (CNPJ/MF or CPF/MF, respectively), or the indication of their “Bank/Branch/Bank Account”, the dividends will only be credited after the third business day, counted as of the date of the registration’s update in the electronic files of Itaú Unibanco S.A., which may be carried out in any branch of the chain or specialized branch indicated below.
