AVISO AOS ACIONISTAS

Dividendos

São Paulo, 30 de julho de 2021 - A São Martinho S.A (B3: SMTO3), (“Companhia”), comunica o pagamento de R$ 299.999.061,48 (duzentos e noventa e nove milhões, novecentos e noventa e nove mil, sessenta e um reais e quarenta e oito centavos), equivalentes a R$ 0,86611044191 por ação, na forma de dividendos (“dividendos”), conforme aprovado em sua Assembleia Geral Extraordinária e Ordinária realizada em 30 de julho de 2021.

Os dividendos terão como base a posição acionária de 30 de julho de 2021 e serão pagos em 17 de agosto de 2021. As ações da Companhia serão negociadas “ex-dividendos a partir de 2 de agosto de 2021.

Os dividendos somados ao pagamento de juros sobre capital próprio (“JCP”) realizado em 10 dezembro de 2020, no valor líquido de impostos de R$ 103.339.478,45 (cento e três milhões, trezentos e trinta e nove mil, quatrocentos e setenta e oito reais e quarenta e cinco centavos), totalizam o valor pago aos acionistas de R$ 403.338.539,93 (quatrocentos e três milhões, trezentos e trinta e oito mil, quinhentos e trinta e nove reais e noventa e três centavos), equivalentes a R$ 1,16445604641 por ação.

Aos acionistas custodiados no Banco Bradesco S.A., os créditos serão disponibilizados de acordo com o domicílio bancário fornecido à instituição financeira. Aos acionistas custodiados na B3 S.A. - Brasil. Bolsa. Balcão, serão repassados por intermédio dos agentes de custódia.

NOTICE TO SHAREHOLDERS

Dividends

São Paulo, July 30, 2021 – São Martinho S.A (B3: SMTO3) (“Company”), announces the payment of two hundred and ninety-nine million, nine hundred and ninety-nine thousand, sixty-one reais and forty-eight centavos (R$299,999,061.48), equivalent to R$0.86611044191 per share, as dividends (“dividends”), as approved in its Annual and Extraordinary Shareholders' Meeting held on July 30, 2021.

The dividends will be distributed to shareholders of record as of July 30, 2021 and paid on August 17, 2021. The Company's stock will trade “ex-dividends” as of August 2, 2021.

The dividends plus the interest on equity (“IoE”) paid on December 10, 2020, in the amount net of taxes of one hundred and three million, three hundred and thirty-nine thousand, four hundred and seventy-eight reais and forty-five centavos (R$103,339,478.45), correspond to an aggregate amount paid to shareholders of four hundred and three million, three hundred and thirty-eight thousand, five hundred and thirty-nine reais and ninety-three centavos (R$403,338,539.93), equivalent to R$1.16445604641 per share.

For shareholders with shares held in custody at Banco Bradesco S.A., the payment will be credited based on the bank account information provided to the financial institution. For shareholders with stock held in custody at the B3 S.A. - Brasil. Bolsa. Balcão, will be transferred through the custody agents.
