AVISO AOS ACIONISTAS
DECLARAÇÃO E PAGAMENTO DE JUROS SOBRE O CAPITAL PRÓPRIO

Comunicamos aos Senhores Acionistas que o Conselho de Administração da Lojas Renner S.A. (“Companhia”), em reunião realizada nesta data, declarou a distribuição e aprovou o pagamento de juros sobre o capital próprio pela Companhia (“JSCP 1T25”), relativo ao exercício de 2025, no valor bruto de R$ R$ 189.579.725,44 (cento e oitenta e nove milhões, quinhentos e setenta e nove mil, setecentos e vinte e cinco reais e quarenta e quatro centavos), correspondentes a R$ 0,187752 por ação, considerando a quantidade de 1.009.734.786 ações ordinárias, das quais já foram excluídas as ações em tesouraria. O pagamento será efetuado a partir do dia 09.04.2025, sem atualização monetária, e sujeita-se ao Imposto de Renda Retido na Fonte (IRRF) de acordo com a legislação vigente.

A importância correspondente ao pagamento dos JSCP 1T25 acima referida será imputada no cálculo do dividendo obrigatório do exercício de 2025, conforme previsto no Estatuto Social da Companhia. De acordo com a legislação vigente, farão jus aos juros deliberados nesta data os acionistas da Companhia detentores de ações em 25.03.2025. Dessa forma, a partir de 26.03.2025 (inclusive), as ações da Companhia serão negociadas “Ex - JSCP 1T25”. A Companhia solicita aos acionistas, pessoas jurídicas imunes ou isentas, que não estejam sujeitas à retenção do Imposto de Renda na Fonte, que comprovem sua condição de isento perante o escriturador (Banco Itaú) da Companhia até o dia 28.03.2025.

Os juros sobre capital próprio serão pagos através da Instituição Depositária das ações de emissão da Companhia - Banco Itaú S.A. (“Banco Itaú”), mediante o crédito automático para aqueles acionistas que já tenham informado ao Banco Itaú o número do seu CPF/CNPJ e a respectiva conta bancária. Para os acionistas que não tenham feito essa indicação, o Banco Itaú remeterá o respectivo aviso de pagamento, que deverá ser apresentado em uma de suas agências, junto com as informações referentes ao assunto, para processamento do respectivo crédito, a partir do 3° dia útil após a atualização dos dados cadastrais. Os acionistas usuários das Custódias Fiduciárias terão sua remuneração creditada conforme procedimentos definidos pelas Bolsas de Valores. NOTICE TO SHAREHOLDERS
DECLARATION AND PAYMENT OF INTEREST ON EQUITY

We inform to our Shareholders that the Board of Directors of Lojas Renner S.A. (“Company”), at a meeting held today, approved the distribution and the payment of interest on equity by the Company (“Interest on Equity 1Q25”), for the fiscal year 2025 in the total amount of BRL 189,579,725.44 (one hundred and eighty nine million, five hundred and seventy nine thousand, seven hundred and twenty five reais and fourty four cents), corresponding to BRL 0.187752 per share, considering the number of 1,009,734,786 common shares, from which the shares held as treasury stock have been already excluded. The payment of Interest on Equity 1Q25 will be made as from April 9, 2025, without monetary restatement, and is subject to Withholding Income Tax (IRRF) in accordance with current legislation.

The aforesaid amount corresponding to the payment of Interest on Equity 1Q25 shall be included in the calculation of the mandatory dividend for the fiscal year 2025, pursuant to the Company’s Bylaws. All the Company’s shareholders holding shares as of March 25, 2025, shall be entitled to interest on equity in accordance with the prevailing legislation. As from March 26, 2025 (including), the Company’s shares shall be traded Ex - Interest on Equity 1Q25. The Company requests shareholders, immune or exempt legal entities, who are exempt from Income Tax Withholding, to prove their exemption status before the Company's registrar (Banco Itaú) until March 28, 2025.

The interest on equity shall be paid through the Depository Institution for the shares issued by the Company - Banco Itaú S.A. (“Banco Itaú”), via an automatic credit entry for those shareholders that have already notified Banco Itaú of the number of their taxpayer’s register enrollment number - CPF/CNPJ, and the respective bank account number. For those shareholders that have not provided this information, Banco Itaú shall effect delivery of the respective payment notification, which should be presented to one of the bank’s branches together with related information for processing of the respective credit entry, as from the third business day following the updating of the shareholders’ enrollment data. The remuneration of shareholders, users of the Fiduciary Custody systems, shall be credited according to procedures established by the Stock Exchanges.
