AVISO AOS ACIONISTAS
PAGAMENTO DE JUROS SOBRE O CAPITAL PRÓPRIO

Comunicamos aos senhores acionistas que o Conselho de Administração da Cia. Hering (“Companhia”), em reunião realizada em 11 de dezembro de 2019, aprovou, “ad referendum” da Assembleia Geral Ordinária, a distribuição de juros sobre o capital próprio, no montante de R$ 18.191.769,34 (dezoito milhões, cento e noventa e um mil, setecentos e sessenta e nove reais e trinta e quatro centavos), equivalente ao valor de R$ 0,1120 por ação. Haverá retenção do imposto de renda na fonte de acordo com a legislação vigente, exceto para os acionistas dispensados da referida tributação. O valor pago como juros sobre o capital próprio será imputado aos dividendos obrigatórios do exercício do social de 2019. O pagamento dos juros sobre o capital próprio será realizado aos acionistas na data de 30 de dezembro de 2019, utilizando como base de cálculo a posição acionária de 16 de dezembro de 2019, excetuando-se as ações em tesouraria. As ações da Companhia serão negociadas na condição “ex” juros sobre o capital próprio, a partir de 17 de dezembro de 2019.

Os juros sobre capital próprio serão pagos através da Instituição Depositária das ações de emissão da Companhia – Banco Itaú S.A., mediante o crédito automático para aqueles acionistas que já tenham informado ao Banco Itaú o número do seu CPF/CNPJ e a respectiva conta bancária. Para os acionistas que não tenham feito essa indicação, o Banco Itaú remeterá o respectivo aviso de pagamento, que deverá ser apresentado em uma de suas agências, junto com as informações referentes ao assunto, para processamento do respectivo crédito, a partir do 3° dia útil após a atualização dos dados cadastrais. Aos acionistas que tiverem as ações depositadas na B3, os juros sobre o capital próprio serão pagos por intermédio dos seus agentes de custódia.

NOTICE TO SHAREHOLDERS
PAYMENT OF INTEREST ON EQUITY

We hereby notify the shareholders that the Board of Directors of Cia. Hering (“Company”), at a meeting held on December 11^th, 2019, with the approval of the Annual Shareholders Meeting, approved the distribution of interest on equity in the amount of eighteen million, one hundred and ninety-one thousand, seven hundred and sixty-nine Reais, and thirty-four cents (R$18,191,769.34), equal to the amount of R$0.1120 per share. The income tax withheld at source shall be withheld pursuant to the applicable law, except for the shareholders exempt from said taxation. The amount paid by way of interest on equity shall be attributed to the mandatory dividends of fiscal year 2019. The payment of the interest on equity shall be made to the shareholders on December 30^th, 2019, using as base date for calculation the share status of December 16^th, 2019, except for the treasury shares. The shares of the Company shall be traded “ex-rights to interest on equity” as from December 17^th, 2019.

The interest on equity shall be paid through the Depositary Institution of the shares issued by the Company – Banco Itaú S.A., upon automatic credit in the account of the shareholders who have informed to Banco Itaú their Taxpayer ID number (CPF/CNPJ) and their respective bank account. For shareholders who have not provided such information, Banco Itaú shall send the respective notice of payment, which shall be presented in one of its branches, together with information relating to the subject, for the respective credit to be processed, from the 3rd business day after the updating of the data records. For shareholders who have their shares deposited with B3, the interest on equity shall be paid through their custodians.
