AVISO AOS ACIONISTAS

DISTRIBUIÇÃO DE DIVIDENDOS

Comunicamos aos Senhores Acionistas que os Conselhos de Administração das empresas Gerdau S.A. (B3: GGBR / NYSE: GGB) e Metalúrgica Gerdau S.A. (B3: GOAU) (em conjunto “Companhias”) aprovaram, na presente data, o pagamento de Dividendos e constituem antecipação do dividendo mínimo obrigatório referente ao exercício social de 2024. Os valores serão pagos conforme datas informadas abaixo:

Os pagamentos serão feitos pela instituição depositária das ações, Itaú Corretora de Valores S.A., mediante crédito automático para aqueles acionistas que tenham informado o número da sua inscrição no CPF/CNPJ e a respectiva conta bancária. Tais informações devem ser fornecidas por meio do Investfone - Central de atendimento aos acionistas. O processamento do respectivo crédito ocorrerá a partir do 3º dia útil após a atualização dos dados cadastrais.

Os proventos não requeridos no prazo de 3 (três) anos, a contar da data em que tenham sido postos à disposição dos acionistas, prescreverão e reverterão em favor das Companhias (Lei 6.404/76, art. 287, inciso II, item a).

NOTICE TO SHAREHOLDERS

PAYMENT OF DIVIDENDS

We would like to inform our Shareholders that Gerdau S.A. and Metalúrgica Gerdau S.A. (collectively, the “Companies”) Boards of Directors approved, on this date, the payment of Dividends as an anticipation of the minimum payment for the current fiscal year of 2024. The amount will be paid according to the dates listed bellow:

The payments will be made by the share depository institution, Itaú Corretora de Valores S.A., through automatic credit for those shareholders who have provided their CPF/CNPJ registration number (Tax ID) and respective bank account. Such information must be provided through Investfone - Shareholder Service Center. The processing of the respective credit will occur from the 3^rd business day after the update of the registration data.

The dividends not claimed within a period of 3 (three) years, counting from the date they were made available to the shareholders, will prescribe and revert in favor of the Companies (Brazilian law 6.404/76, article 287, section II, item a).
