AVISO AOS ACIONISTAS
PAGAMENTO DE DIVIDENDOS E JUROS SOBRE O CAPITAL PRÓPRIO

Comunicamos aos senhores acionistas que o Conselho de Administração da Cia. Hering (“Companhia”), em reunião realizada em 10 de dezembro de 2020, aprovou, “ad referendum” da Assembleia Geral Ordinária que apreciará nas contas do exercício social a encerrar-se em 31/12/2020, o pagamento aos acionistas, de dividendos e juros sobre o capital próprio, conforme a seguir:

(i) Dividendos, no montante de R$ 16.692.752,65 (dezesseis milhões, seiscentos e noventa e dois mil, setecentos e cinquenta e dois reais e sessenta e cinco centavos), correspondendo a R$ 0,1052 por ação, excluídas as ações em tesouraria.

(ii) Juros Sobre o Capital Próprio, pontualmente relativo ao 4º trimestre de 2020, a serem imputados ao valor do dividendo obrigatório relativo ao exercício social de 2020, no montante de R$ 18.295.383,85 (dezoito milhões, duzentos e noventa e cinco mil, trezentos e oitenta e três reais e oitenta e cinco centavos), correspondendo a R$ 0,1153 por ação, excluídas as ações mantidas em tesouraria, com a retenção do imposto de renda na fonte a ser efetuada de acordo com a legislação vigente e respeitadas as exceções legais.

(iii) O pagamento de dividendos e juros sobre o capital próprio será efetuado aos acionistas no dia 30 de dezembro de 2020 e tomará como base de cálculo a posição acionária de 16 de dezembro de 2020. As ações da Companhia serão negociadas na condição “com” dividendos e juros sobre o capital próprio até o dia 16 de dezembro de 2020, inclusive, e na condição “ex” dividendos e juros sobre capital próprio a partir do dia 17 de dezembro de 2020.

(iv) Os acionistas terão seus créditos disponíveis de acordo com o domicílio bancário fornecido ao Banco Itaú S.A., Instituição Financeira Escriturária das ações de emissão da Companhia. Aos acionistas cujo cadastro não contenha a inscrição do número do CPF/MF ou do CNPJ/MF, ou a indicação de Banco/Agência/Conta Corrente, os valores somente serão creditados a partir do 3º dia útil, contado da data da atualização cadastral nos arquivos eletrônicos do Banco Itaú S.A. Aos acionistas que tiverem as ações depositadas na B3, os dividendos e juros sobre o capital próprio serão pagos e repassados por intermédio dos seus agentes de custódia.

NOTICE TO SHAREHOLDERS
PAYMENT OF DIVIDENDS AND INTEREST ON OWN CAPITAL

We hereby notify the shareholders that the Board of Directors of Cia. Hering (“Company”), at a meeting held on December 10, 2020, with the approval of the Annual Shareholders Meeting approved that it will consider in the accounts of the fiscal year to end on 12/31/2020, the payment to shareholders, of dividends and interest on own capital, as follows:

(i) Dividends, in the amount of R$ 16,692,752.65 (sixteen million, six hundred and ninety-two thousand, seven hundred and fifty-two reais and sixty-five cents), corresponding to R$ 0.1052 per share, excluded treasury shares.

(ii) Interest on Equity, specifically related to the 4th quarter of 2020, to be imputed to the amount of the mandatory dividend for the fiscal year 2020, in the amount of R$ 18,295,383.85 (eighteen million, two hundred and ninety-two five thousand, three hundred and eighty-three reais and eighty-five cents), corresponding to R$ 0.1153 per share, excluding shares held in treasury, with withholding income tax to be carried out in accordance with the legislation and legal exceptions are respected.

(iii) The payment of dividends and interest on shareholders' equity will be made to shareholders on December 30, 2020 and will be based on the calculation of the shareholding position on December 16, 2020. The Company's shares will be traded on the “with” dividends and interest on own capital until December 16, 2020, inclusive, and in the condition “ex” dividends and interest on own capital as of December 17, 2020.

(iv) The shareholders will have their credits available according to the bank address provided to Banco Itaú S.A., the Financial Institution of the shares issued by the Company. To shareholders whose registration does not contain the registration number of the CPF / MF or CNPJ / MF, or the indication of Bank/Branch/Current Account, the amounts will only be credited as from the 3rd business day, counted from the date of the registration update in the electronic files of Banco Itaú S.A. To shareholders who have their shares deposited at B3, dividends and interest on equity will be paid and transferred through their custody agents.
