Vale informa sobre deliberação do Conselho de
Administração

A Vale S.A. (“Vale”) informa que o Conselho de Administração, em reunião realizada hoje, deliberou sobre a declaração de juros sobre o capital próprio (“JCP”), na forma da lei, consoante o encerramento do ano-calendário, no montante total bruto de R$ 7.253.260.000,00, correspondendo a R$ 1,414364369 por ação ordinária em circulação e por ação preferencial de classe especial de emissão da Vale, calculado com base no número de ações em circulação na presente data (5.128.282.469).

Esta decisão não modifica a determinação do Conselho de Administração de suspender a Política de Remuneração ao Acionista, conforme divulgado no Fato Relevante de 27 de janeiro de 2019.

A destinação do JCP será deliberada em momento oportuno, o que não ocorrerá durante a suspensão da Política de Remuneração ao Acionista.

Seguem informações adicionais:

O referido JCP foi apurado com base nas reservas de lucro do balanço de 30 de setembro de 2019, de acordo com o estabelecido no Art. 39 do Estatuto Social da Vale.
2.
A record date para os detentores de ações de emissão da Vale negociadas na B3 será no dia 26 de dezembro de 2019. A record date para os detentores de American Depositary Receipts (“ADRs”) de emissão da Vale negociados na New York Stock Exchange (“NYSE”) será no dia 30 de dezembro de 2019. A data de pagamento será definida em momento oportuno.

As ações da Vale serão negociadas ex-direitos na B3 e na NYSE a partir de 27 de dezembro de 2019 (inclusive).

De acordo com a legislação vigente no Brasil, a distribuição de JCP está sujeita à retenção de imposto de renda na fonte, exceto para os beneficiários imunes e isentos que comprovarem atender as condições legais para a dispensa de retenção. Qualquer alteração no cadastro de acionista quanto ao domicílio e perfil fiscais deve ser realizada até dia 27 de dezembro de 2019, para assegurar a apuração correta do imposto retido na fonte referente ao JCP anunciado nesta data.

Vale informs on approval by the Board of Directors

Rio de Janeiro, December 19th, 2019 – Vale S.A. (“Vale”) informs that the Board of Directors, at a meeting held today, approved interest on equity, according to the Brazilian Law, considering the end of calendar year, in the gross amount of R$ 7,253,260,000.00, equivalent to R$ 1.414364369 per outstanding common share and per special-class preferred share issued by Vale, based on the number of outstanding shares as of today (5,128,282,469).

This approval does not modify the Board of Directors’ decision of suspending the Shareholder Remuneration Policy, as disclosed in the Press Release of January 27th, 2019.

The allocation of JCP will be decided in due course, which will not occur during the suspension of the Shareholder Remuneration Policy.

Additional information is as follows:

i.
The above-mentioned interest on equity was based on balance sheet revenue reserves as of September 30th, 2019, in accordance with the established by the Article 39 of Vale’s bylaws.
ii.
Record date for the owners of Vale shares traded on the B3 will be on December 26th, 2019 and for holders of American Depositary Receipts (“ADRs”) traded on the New York Stock Exchange (“NYSE”) will be on December 30th, 2019. The date of payment will be informed in due course.
iii.
Vale's shares will be traded ex-right on the B3 and NYSE starting on December 27th, 2019 (inclusive).
iv.
According to the Brazilian Law, the distribution of interest on equity is subject to the deduction of withholding income tax, except for the immune or exempt beneficiaries that prove meeting the legal conditions for the exemption. Any change in the shareholder register regarding tax residence and profile shall be done until December 27th, 2019, to ensure the accurate withholding tax related to the interest on equity announced on this date.
