AVISO AOS ACIONISTAS
DECLARAÇÃO E PAGAMENTO DE JUROS SOBRE O CAPITAL PRÓPRIO

A Pet Center Comércio e Participações S.A. (“Companhia”), comunica aos seus acionistas e ao mercado em geral que, em reunião do Conselho de Administração realizada nesta data, declarou e aprovou a distribuição e o pagamento de juros sobre o capital próprio (“JCP”), relativos ao primeiro semestre de 2023, no valor bruto de R$ 3.000.000,00 (três milhões de reais), correspondentes a R$ 0,00648688977 por ação, considerando a quantidade de 462.471.247 ações ordinárias, das quais já foram excluídas as ações em tesouraria. O pagamento será efetuado em 27 de maio de 2024 e sujeita-se à retenção de Imposto de Renda Retido na Fonte (IRRF) de acordo com a legislação vigente, exceto para acionistas que comprovadamente não estiverem sujeitos à incidência do tributo, na forma da legislação aplicável.

A importância correspondente ao pagamento dos JCP acima referida será imputada no cálculo do dividendo obrigatório do exercício de 2023, conforme previsto no Estatuto Social da Companhia. De acordo com a legislação vigente, farão jus aos juros os acionistas da Companhia detentores de ações em 30 de junho de 2023. Dessa forma, a partir de 3 de julho de 2023 (inclusive), as ações da Companhia serão negociadas “Ex-JCP”. A Companhia solicita aos acionistas, empresas e/ou entidades que não estejam sujeitas à retenção do Imposto de Renda na Fonte, que providenciem o envio da documentação hábil para liberação da referida retenção, para a sede da Companhia, na Rua Doutor Miguel Capalbo, nº 135, Pari, CEP 03035-040, na cidade de São Paulo, Estado de São Paulo, aos cuidados da Diretora de Relações com Investidores, até o dia 3 de julho de 2023.

NOTICE TO SHAREHOLDERS
DECLARATION AND PAYMENT OF INTEREST ON EQUITY

Pet Center Comércio e Participações S.A. (“Company”), hereby informs its shareholders and the market in general that on the date hereof, the Company’s Board of Directors declared and approved the distribution and payment of interest on equity (“IoE”), regarding the first semester of 2023, in the total amount of R$ 3,000,000.00 (three million reais), corresponding to R$ 0.00648688977 per share, considering the number of 462,471,247 common shares, of which the treasury shares have already been excluded. The payment will be made on May 27^th, 2024, and is subject to the Income Tax Withholding (IRRF) pursuant to the relevant tax rates provided for in the applicable law, except for the shareholders that are not subject to such taxation or withholding pursuant to the applicable law.

The aforesaid amount corresponding to the payment of IoE shall be included in the calculation of the mandatory dividend for the fiscal year 2023, pursuant to the Company’s Bylaws. Pursuant to the current law, the Company's shareholders holding shares on June 30^th, 2023 will be entitled to IoE. Thereby, as of July 3^rd, 2023 (inclusively), the Company's shares will be traded "Ex-IoE rights". The Company requests shareholders, companies and/or entities who are exempt from Income Tax Withholding (IRRF) to send the appropriate documentation to confirm this status to the Company’s registered offices at 135 Doutor Miguel Capalbo Street, Pari, São Paulo/SP, Zip Code: 03035-040, in attention to the Investor Relations Officer, by July 3^rd, 2023.
