Dividendos

São Paulo, 26 de julho de 2024 - A São Martinho S.A (B3: SMTO3), (“Companhia”), comunica o pagamento de R$ 150.103.073,47 (cento e cinquenta milhões, cento e três mil, setenta e três reais e quarenta e sete centavos), equivalentes a R$ 0,45051079110 por ação, desconsideradas as ações em tesouraria, na forma de dividendos (“dividendos”), conforme aprovado em sua Assembleia Geral Ordinária e Extraordinária realizada em 26 de julho de 2024.

Os dividendos terão como base a posição acionária de 26 de julho de 2024 e serão pagos em 13 de agosto de 2024. As ações da Companhia serão negociadas “ex-dividendos” a partir de 29 de julho de 2024.

Os dividendos, somados aos juros sobre capital próprio (“JCP”) pagos em 4 de julho de 2024, no valor total líquido de R$ 133.167.458,88 (cento e trinta e três milhões, cento e sessenta e sete mil, quatrocentos e cinquenta e oito reais e oitenta e oito centavos), totalizam R$ 283.270.532,35 (duzentos e oitenta e três milhões, duzentos e setenta mil, quinhentos e trinta e dois reais e trinta e cinco centavos), equivalentes a R$ 0,85019199590 por ação, desconsideradas as ações em tesouraria.

Aos acionistas custodiados no escriturador BTG Pactual Serviços Financeiros S.A. DTVM, os créditos serão disponibilizados de acordo com o domicílio bancário fornecido à instituição financeira. Aos acionistas custodiados na B3 S.A. - Brasil. Bolsa. Balcão, os créditos serão repassados por intermédio dos agentes de custódia.

São Paulo, July 26, 2024 - São Martinho S.A (B3: SMTO3) (“Company”) informs the payment of R$ 150,103,073.47 (one hundred and fifty million, one hundred and three thousand, seventy-three reais and forty-seven centavos), equivalent to R$ 0.45051079110 per share, excluding treasury shares, in the form of dividends (“dividends”), as approved in its Annual and Extraordinary Shareholders' Meeting held on July 26, 2024.

The payment of dividends will be based on the shareholder position on July 26, 2024 and be made on August 13, 2024, with the shares of the Company trading “ex-dividends” as from July 29, 2024.

Considering the amount of interest on equity (“IOE”), paid on July 4, 2024, of R$ 133,167,458.88 (one hundred and thirty-three million, one hundred and sixty-seven thousand, four hundred and fifty- eight reais and eighty-eight centavos), net of taxes, the total amount paid to shareholders is R$ 283,270,532.35 (two hundred and eighty-three million, two hundred and seventy thousand, five hundred and thirty-two reais and thirty-five centavos), equivalent to R$ 0.85019199590 per share, excluding treasury shares.

For shareholders with shares held in custody at BTG Pactual Serviços Financeiros S.A. DTVM, the payments will be credited based on the bank account information provided to the financial institution. For shareholders with shares held in custody at B3 S.A. - Brasil, Bolsa, Balcão, the payments will be via intermediation of the custody agents.
