DISTRIBUIÇÃO DE JUROS SOBRE CAPITAL PRÓPRIO

A Kepler Weber S/A (B3: KEPL3), empresa controladora do Grupo Kepler Weber, líder em equipamentos para armazenagem e soluções em pós-colheita de grãos na América Latina (“Companhia”), comunica a seus acionistas que, conforme deliberado em reunião do Conselho de Administração da Companhia realizada na presente data, foi aprovada a declaração e distribuição de juros sobre capital próprio com base na aplicação da TJLP (Taxa de Juros de Longo Prazo), calculada até a data base de 31 de maio de 2021, sobre o Patrimônio Líquido da Companhia, a serem imputados ao dividendo obrigatório relativo ao exercício de 2021, no montante bruto de R$21.478.159,87 (vinte e um milhões, quatrocentos e setenta e oito mil, cento e cinquenta e nove reais e oitenta e sete centavos), correspondentes a R$0,708000 (setenta centavos e oito mil milionésimos de centavos) por ação, considerando a quantidade de 30.336.384 (trinta milhões, trezentos e trinta e seis mil, trezentos e oitenta e quatro) ações ordinárias, nominativas, escriturais e sem valor nominal, em circulação, das quais já foram excluídas as ações em tesouraria.

Farão jus ao recebimento da remuneração total mencionada acima todos os acionistas detentores de ações de emissão da Companhia no encerramento do pregão da B3 S.A. – Brasil, Bolsa, Balcão (“B3”) em 28 de junho de 2021. As ações de emissão da Companhia serão negociadas “ex-dividendos” na B3 a partir de 29 de junho de 2021 (inclusive).

Referidos juros sobre capital próprio, declarados e aprovados na presente data, serão pagos em uma única parcela, sem retenção de imposto de renda na fonte, em 09 de julho de 2021, mediante crédito disponível de acordo com o domicílio bancário fornecido ao Banco Itaú Unibanco S.A., instituição financeira escriturária das ações de emissão da Companhia (“Escriturador”). Os acionistas cujo cadastro no Escriturador não contenha a inscrição do número do CPF/CNPJ ou a indicação de “Banco/Agência/Conta Corrente”, deverão providenciar sua regularização em uma das agências especializadas do Escriturador e os dividendos somente serão creditados depois da regularização cadastral.

O pagamento dos juros sobre capital próprio ora aprovado por este Conselho de Administração está de acordo com a legislação em vigor, com a Política de Distribuição de Dividendos da Companhia e com o seu Estatuto Social. Os juros sobre capital próprio ora declarados deverão ser imputados aos dividendos obrigatórios referentes ao exercício social a se encerrar em 31 de dezembro de 2021.

NOTICE TO SHAREHOLDERS
DISTRIBUTION OF INTEREST ON EQUITY

Kepler Weber S/A (B3:KEPL3), holding company of the Kepler Weber Group, Latin America’s market leader in grain storage equipment and post-harvest solutions (“Company”), hereby informs its shareholders that, as resolved at the meeting of the Company's Board of Directors held on this date, the declaration and distribution of interest on equity was approved, based on the application of the TJLP (Long-Term Interest Rate), calculated until the base date of May 31, 2021, on the Company's Net Equity, to be imputed to the mandatory dividend for fiscal year 2021, in the gross amount of R$21,478. 159.87 (twenty one million, four hundred and seventy eight thousand, one hundred and fifty nine Brazilian Reais and eighty seven cents), corresponding to R$0.708000 (seventy Brazilian cents and eight thousand millionths of a cent) per share, considering the quantity of 30,336,384 (thirty million, three hundred and thirty six thousand, three hundred and eighty four) ordinary, nominative, book-entry shares without par value, in circulation, from which treasury shares have already been excluded.

All the shareholders that hold shares issued by the Company at the close of trading on B3 S.A. - Brasil, Bolsa, Balcão ("B3") on June 28, 2021 will be entitled to receive the total compensation mentioned above. The shares issued by the Company will be traded "ex-dividend" on B3 as from June 29, 2021 (including).

Said interest on equity, declared and approved on the present date, will be paid in a single installment, without withholding income tax, on July 9, 2021, by means of a credit available according to the bank domicile provided to Banco Itaú Unibanco S.A., the financial institution acting as the bookkeeping agent for the shares issued by the Company ("Bookkeeping Agent"). Shareholders whose registration with the Bookkeeping Agent does not contain the CPF/CNPJ number or the indication of "Bank/Branch/Current Account", should provide its regularization at one of the specialized branches of the Bookkeeping Agent, and the dividends will only be credited after the registration regularization.

The payment of the interest on equity approved by this Board of Directors is in accordance with the legislation in force, with the Company's Dividend Distribution Policy and with its Bylaws. The interest on equity declared herein will be imputed to the mandatory dividends for the fiscal year ending December 31, 2021).
