AVISO AOS ACIONISTAS

A M. DIAS BRANCO S.A. INDÚSTRIA E COMÉRCIO DE ALIMENTOS ("Companhia") comunica aos seus acionistas que conforme disposto no item 4.4. da Política de Remuneração aos Acionistas, a Companhia realizará distribuições intercalares trimestrais de juros sobre o capital próprio - JSCP. Os valores a serem pagos aos acionistas inscritos nos registros da Sociedade nas datas de direito abaixo mencionadas serão de R$ 0,0600000000 (cinco centavos) que, líquidos do imposto de renda na fonte de 15% (quinze por cento), corresponderão a R$ 0,0510000000 por ação, exceto para os acionistas pessoas jurídicas que estejam dispensados da referida tributação, que receberão pelo valor declarado.

Conforme a nossa Política de Remuneração aos Acionistas e nos termos do §3º do artigo 24 do referido Estatuto Social, os JSCP deverão ser imputados ao dividendo mínimo obrigatório e farão parte do percentual alvo de 80% (oitenta por cento) do lucro ajustado a ser distribuído relativo ao exercício social de 2024.

Os pagamentos serão efetuados aos acionistas com ações depositadas na B3 S.A. - Brasil, Bolsa, Balcão, por intermédio das instituições e/ou corretoras que mantêm suas posições em custódia.

A Companhia esclarece que quaisquer alterações de datas e/ou valores serão informadas ao mercado.

NOTICE TO SHAREHOLDERS

M. DIAS BRANCO S.A. INDÚSTRIA E COMÉRCIO DE ALIMENTOS ("Company") informs its shareholders that, as provided in item 4.4. of the Shareholders´ Remuneration Policy, the Company will make quarterly interim distributions of interest on equity - IoE. The amounts to be paid to the shareholders registered in the Company's records on the right dates mentioned below will be R$0.0600000000 per share, which, net of withholding income tax of fifteen percent (15%), will correspond to R$ 0.0510000000 per share, except for corporate shareholders who are exempt from said taxation, who will receive at the declared amount.

Pursuant to our Shareholders´ Remuneration Policy and as provided in paragraph 3 of article 24 of the aforementioned Bylaws, IoE shall be charged against the minimum mandatory dividend and will form part of the target percentage of eighty percent (80%) of the adjusted income to be distributed for the 2024 fiscal year.

Payments will be made to shareholders with shares deposited at B3 S.A. - Brasil, Bolsa, Balcão, through the institutions and/or brokers that maintain their positions in custody.

The Company clarifies that any changes to dates and/or amounts will be reported to the market.
