AVISO AOS ACIONISTAS

NOTRE DAME INTERMÉDICA PARTICIPAÇÕES S.A. (“Companhia”) comunica aos seus acionistas e ao mercado em geral que, nos termos da proposta da administração da Companhia disponibilizada ao mercado em 25 de fevereiro de 2019 (“Proposta da Administração”) e conforme aprovado em assembleia geral ordinária e extraordinária realizada nesta data (“AGOE”), a Companhia distribuirá aos seus acionistas, a título de dividendo mínimo obrigatório, o montante total de R$79.342.309,49 (setenta e nove milhões, trezentos e quarenta e dois mil, trezentos e nove reais e quarenta e nove centavos), equivalente a 25% (vinte e cinco por cento) do lucro líquido da Companhia apurado no exercício social encerrado em 31 de dezembro de 2018 (ajustado após a destinação para a reserva legal) e correspondente a R$0,15013426 por ação de emissão da Companhia.

A Companhia reitera a informação de que os acionistas que farão jus ao dividendo mínimo obrigatório serão aqueles registrados como tal na presente data, sendo que a partir de 29 de março de 2019 as ações da Companhia passarão a ser negociadas “ex-dividendos”.

A Companhia informa que o dividendo mínimo obrigatório será pago em moeda corrente nacional em 10 de abril de 2019.

A Companhia manterá seus acionistas e o mercado em geral informados sobre eventuais novas informações do assunto objeto do presente Aviso aos Acionistas.

NOTICE TO SHAREHOLDERS

NOTRE DAME INTERMÉDICA PARTICIPAÇÕES S.A. (“Company”) informs its shareholders and the market in general that, pursuant to the Company’s management proposal disclosed to the market on February 25, 2019 (“Management’s Proposal”) and as approved at the annual and extraordinary shareholders’ meeting held on this date (“AESM”), the Company will distribute to its shareholders, as minimum mandatory dividend, the total amount of seventy-nine million, three hundred and forty-two thousand, three hundred and nine Reais and forty-nine cents (R$79,342,309.49), equivalent to twenty-five per cent (25%) of the Company’s net profit regarding fiscal year ended December 31, 2018 (adjusted after allocation to the legal reserve) and corresponding to R$0.15013426 per share issued by the Company.

The Company reasserts the information that the shareholders entitled to the minimum mandatory dividends shall be those registered as such on the present date, and, as of March 29, 2019, the Company’s shares will be traded “ex dividends”.

The Company informs that the minimum mandatory dividend will be paid in national currency on April 10, 2019.

The Company will keep its shareholders and the market in general informed about possible new information regarding matters disclosed in this Notice to Shareholders.
