AVISO AOS ACIONISTAS

3ª Distribuição antecipada de Dividendos do exercício social de 2025

Comunicamos aos Acionistas que o Conselho de Administração da Grendene S.A. (“Companhia”), em reunião realizada em 6 (seis) de novembro de 2025, deliberou e aprovou “ad referendum” da Assembleia Geral Ordinária que apreciar o balanço patrimonial e as demonstrações financeiras referente ao exercício social a ser encerrado em 31 (trinta e um) de dezembro de 2025, a 3ª (terceira) distribuição antecipada de dividendos referente ao resultado líquido apurado até 30 (trinta) de setembro de 2025, no valor de R$63.898.525,75 (sessenta e três milhões, oitocentos e noventa e oito mil, quinhentos e vinte cinco reais e setenta e cinco centavos), que serão pagos aos acionistas em moeda corrente nacional a partir de 10 (dez) de dezembro de 2025, e distribuídos da seguinte forma:

Farão jus ao recebimento dos dividendos antecipados os acionistas titulares de ações ordinárias (“GRND3”) inscritos nos registros da Companhia em 21 (vinte e um) de novembro de 2025 (data do corte). Desta forma, as ações GRND3 passarão a ser negociadas ex-dividendo a partir de 24 de novembro de 2025, na B3 S.A. - Brasil, Bolsa, Balcão (“B3”).

Os acionistas receberão o crédito conforme cadastro fornecido ao BTG Pactual Serviços Financeiros S.A. DTVM (“BTG Pactual”), instituição depositária das ações da Companhia, e aqueles que possuem as ações custodiadas na B3 terão seus créditos repassados pelos respectivos agentes de custódia, a partir da data de início do pagamento. Os acionistas com cadastros desatualizados e que não contenham o número do CPF/CNPJ, ou opção de crédito bancário, terão os seus créditos depositados após a regularização cadastral, a qual poderá ser feita através do BTG Pactual por meio do e-mail escrituracao.acao@btgpactual.com.

NOTICE TO SHAREHOLDERS

3^rd Distribution of Interim Dividends for the 2025 Fiscal Year

We hereby inform the Shareholders that the Board of Directors of Grendene S.A. (“Company”), at a meeting held on November 6, 2025, deliberated and approved “ad referendum” of the Annual General Meeting that will examine the balance sheet and financial statements for the fiscal year 2025, the third early distribution of dividends referring to the available balance in the period up to September 30, 2025, in the amount of R$63,898,525.75 (sixty-three million, eight hundred and ninety-eight thousand, five hundred and twenty-five reais and seventy-five cents), which will be paid to shareholders in Brazilian currency from December 10, 2025, and distributed as follows:

The dividends will be payable to stockholders in the Company’s books of record on November 21, 2025 (the cut-off date). Thus, Grendene common shares (GRND3) will be traded ex-dividend on November 24, 2025, on the B3 S.A. - Brasil, Bolsa, Balcão (São Paulo Stock Exchange).

Shareholders will have their credits available on the date of the start of the payment of this right, in accordance with their current account and bank domicile supplied to that BTG Pactual Serviços Financeiros S.A. DTVM (“BTG Pactual”), the depositary institution of the shares of this Company, and those who hold the shares held in custody at B3 will have their credits transferred by the respective custodian agents, as of the date of the start of payment. Shareholders with outdated registrations that do not contain the CPF or CNPJ number or bank credit option will have their credits deposited after the cadastral regularization, which can be done via BTG Pactual through the email escrituracao.acao@btgpactual.com.
