AVISO AOS ACIONISTAS

3ª Distribuição Antecipada de Dividendos do exercício de 2018

Comunicamos aos Acionistas que, o Conselho de Administração, em reunião realizada em 25 de outubro de 2018, deliberou e aprovou “ad referendum” da Assembleia Geral Ordinária que apreciar o balanço patrimonial e as demonstrações financeiras referentes ao exercício de 2018, a 3ª distribuição antecipada de dividendos referente ao saldo disponível no período até 30/09/2018, no valor de R$47.225.071,31 (quarenta e sete milhões, duzentos e vinte cinco mil e setenta e um reais e trinta e um centavos) cabendo aos acionistas titulares de ações ordinárias, o valor de R$0,052457439 por ação (excluídas as ações em tesouraria, conforme legislação em vigor). Os dividendos serão pagos a partir de 21/11/2018, sem remuneração ou atualização monetária e sem retenção de Imposto de Renda, conforme legislação em vigor.

Farão jus ao recebimento destes dividendos os acionistas titulares de ações ordinárias (GRND3) inscritos nos registros da Companhia em 05/11/2018. Desta forma, as ações da Companhia (GRND3) passarão a ser negociadas ex-dividendos a partir de 06/11/2018, na B3 S.A. – Brasil, Bolsa, Balcão.

Os acionistas receberão o crédito conforme cadastro fornecido ao Itaú Unibanco S.A., instituição depositária das ações desta Companhia, e aqueles que possuem as ações custodiadas na B3 terão seus créditos repassados pelos respectivos agentes de custódia, a partir da data de início do pagamento. Os acionistas com cadastros desatualizados e que não contenham o número do CPF/CNPJ, ou opção de crédito bancário, terão os seus créditos depositados após a regularização cadastral, a qual poderá ser feita em qualquer agência do Itaú Unibanco S.A.

NOTICE TO SHAREHOLDERS

3^rd Interim dividends of 2018

We are writing to inform shareholders that, the Board of Directors at the meeting held on October 25, 2018, decided “ad referendum” that it will propose to the Ordinary General Meeting that will examine the balance sheet and financial statements for the 2018 financial year, the 3rd distribution of dividends in the amount of R$47,225,071.31 (Forty-seven million, two hundred and twenty-five thousand, seventy-one reais and thirty-one cents). The shareholders of common shares will receive an interim dividend of R$0.052457439 per share (excluding treasury shares as legislation), referring to the period up to September 30, 2018, that will be paid from November 21, 2018, without remuneration or monetary restatement and no withdrawal tax will be imposed on the dividend.

Shareholders whose names were registered with the Company on November 5, 2018 will have the right to receive the interim dividends. The Company’s shares will be traded ex-dividend from November 6, 2018 on the B3 S.A. – Brasil, Bolsa, Balcão.

Shareholders will have their credits available on the date of the start of the payment of this right, in accordance with their current account and bank domicile supplied to Banco Itaú Unibanco S.A., the depositary institution of the shares of this Company, and those who hold the shares held in custody at B3 will have their credits transferred by the respective custodian agents, as of the date of the start of payment. Shareholders with outdated registrations that do not contain the CPF or CNPJ number or bank credit option will have their credits deposited after the cadastral regularization, which may be done at any branch of Itaú Unibanco S.A.
