AVISO AOS ACIONISTAS
JUROS SOBRE CAPITAL PRÓPRIO

São Paulo, 19 de março de 2025 - SMARTFIT ESCOLA DE GINÁSTICA E DANÇA S.A. (“Companhia”) comunica aos seus acionistas e ao mercado em geral que, em Reunião do Conselho de Administração realizada em 19 de março de 2025, foi aprovado o pagamento de Juros sobre Capital Próprio (“JCP”) à conta da reserva de lucros retidos em exercícios anteriores, conforme apurado nas demonstrações financeiras da Companhia referentes a 31 de dezembro de 2024, no montante total bruto de R$ 40.000.000,00 (quarenta milhões de reais), correspondente ao valor de R$ 0,06697362319 por ação, sujeito à retenção de 15% (quinze por cento) de Imposto de Renda Retido na Fonte (IRRF), na forma da legislação em vigor, com exceção dos acionistas imunes e/ou isentos, nos termos da legislação fiscal em vigor.

O pagamento do JCP, ora aprovado, será realizado em parcela única, no dia 30 de abril de 2025, sem que haja qualquer atualização monetária ou remuneração correspondente entre a data de declaração e de efetivo pagamento, de acordo com a respectiva conta corrente e domicílio bancário do acionista fornecidos ao BTG Pactual S.A., instituição responsável pela escrituração das ações da Companhia.

A data base para o direito ao recebimento do JCP será 24 de março de 2025, sendo certo que, a partir de 25 de março de 2025, inclusive, as ações da Companhia serão negociadas “ex-juros sobre capital próprio” na B3 S.A. - Brasil, Bolsa e Balcão. Os JCP declarados, líquidos do imposto de renda na fonte, serão imputados aos dividendos mínimos obrigatórios relativos ao exercício de 2025, conforme artigo 9º, parágrafo 7º, da Lei 9.249/95, item X, da Resolução CVM 143/2022 e do Estatuto Social da Companhia.

NOTICE TO SHAREHOLDERS
INTEREST ON EQUITY

São Paulo, March 19^th, 2025 - SMARTFIT ESCOLA DE GINÁSTICA E DANÇA S.A. (“Company”) informs to its shareholders and to the market in general that, in the Board of Directors' Meeting held on March 19^th, 2025, was approved the payment of Interest on Equity ("IoE"), to the account of the retained earnings reserve from previous years, as determined in the Company’s financial statements from December 31^st, 2024, in the total gross amount of R$ 40.000.000,00 (forty million reais), corresponding to R$ 0,06697362319 per share, subject to the withholding of 15% (fifteen percent) of Withholding Income Tax (IRRF), with the exception of shareholders that are proven to be immune or exempt, under the terms of the Tax Legislation in force.

The payment of the interest on equity, hereby approved, shall be made in a single installment, on April 30^th, 2025, without any monetary adjustment or corresponding remuneration between the date of declaration and effective payment, according to the respective current account and bank domicile of the shareholder provided to BTG Pactual S.A., the institution responsible for the bookkeeping of the Company's shares.

The record date that establishes the right to receive the interest on equity will be at March 24^th, 2025, it is certain that, as of March 25^th, 2025 the Company's shares will be traded "ex-interest on equity" on B3 S.A. - Brasil, Bolsa e Balcão. The declared interest on equity, net of income tax, will be imputed to the minimum mandatory dividends for the 2024 fiscal year, pursuant to article 9, paragraph 7, of Law 9,249/95; item X, of CVM Resolution 143/2022; and the Company's Bylaws.
