Distribuição de Juros sobre Capital Próprio

A CIELO S.A. (“Companhia”) (B3: CIEL3 / OTC Nasdaq International: CIOXY), comunica aos seus acionistas e demais interessados que seu Conselho de Administração aprovou, ad referendum da Assembleia Geral Ordinária da Companhia a ser realizada para a aprovação do resultado do exercício social de 2021, a declaração de Juros sobre Capital Próprio (“JCP”) no montante de R$235.760.000 (duzentos e trinta e cinco milhões, setecentos e sessenta mil reais). Os JCP estão sujeitos à incidência de imposto de renda, conforme aplicável a cada caso, e serão distribuídos e pagos aos acionistas nas proporções de suas participações no capital social da Companhia, sendo que não farão jus aos JCP as ações mantidas em tesouraria. O valor final por ação dos JCP a serem pagos é de R$ 0,08725847942.

Os JCP serão pagos aos acionistas no dia 11 de fevereiro de 2022, com base na posição acionária de 29 de dezembro de 2021, sendo as ações da Companhia negociadas ex juros sobre capital próprio a partir de 30 de dezembro de 2021, inclusive.

Considerando a posição atual de liquidez da Companhia, e buscando otimizar a geração de valor aos acionistas, o Conselho de Administração deliberou, pontualmente em 2021, a declaração de JCP até o limite de dedutibilidade fiscal para o exercício, o que poderá resultar em proventos superiores ao mínimo de 30% estabelecido no estatuto.

O valor a ser distribuído se soma a R$223.629.329,66 (duzentos e vinte e três milhões, seiscentos e vinte e nove mil, trezentos e vinte e nove reais e sessenta e seis centavos) declarados nos três primeiros trimestres do exercício e já pagos, resultando em R$459.389.329,66 (quatrocentos e cinquenta e nove milhões, trezentos e oitenta e nove mil, trezentos e vinte e nove reais e sessenta e seis centavos) declarados no ano de 2021.

O pagamento ocorrerá por meio da instituição depositária das ações – Banco Bradesco S.A. (“Banco Bradesco”), mediante crédito automático para acionistas correntistas e acionistas que já tenham informado ao Banco Bradesco o número de seu CPF ou CNPJ e a respectiva conta bancária. Os acionistas que não tenham feito essa indicação deverão se dirigir a uma agência do Banco Bradesco para atualização dos dados cadastrais. Os acionistas detentores de ações custodiadas na B3 S.A. – Brasil, Bolsa, Balcão, receberão os JCP por intermédio de seus agentes de custódia e os acionistas detentores de ADRs (American Depositary Receipts) receberão os JCP por meio do JP Morgan Chase Bank, instituição depositária contratada.

Distribution of Interest on Shareholders’ Equity

CIELO S.A. (“Company”) (B3: CIEL3 / OTC Nasdaq International: CIOXY), announces to its shareholders and other interested parties that the Board of Directors approved, ad referendum of the Annual Shareholders’ Meeting of the Company to be held to approve the results of the fiscal year of 2021, the statement of Interest on Shareholders’ Equity (“ISE”) totaling BRL 235,760.000 (two hundred and thirty-five million, seven hundred and sixty thousand reais). The ISE is subject to income tax, as applicable to each case, and shall be distributed and paid to shareholders proportionally to their respective interest in the Company’s share capital, whereas shares held in treasury shall not be entitled to ISE. The final amount per share of ISE to be paid is BRL 0.08725847942.

Such ISE will be paid to the shareholders on February 11, 2022, based on the shareholding base of December 29, 2021, whereas the Company’s shares will be traded ex-interest on shareholders’ equity as of December 30, 2021, including this date.

To optimize value generated to shareholders, and considering the Company’s current liquidity position, the Board of Directors decided, specifically on this occasion, to distribute proceeds in 2021 up to the limit of tax deductibility of ISE for the fiscal year, which could potentially result in proceeds greater than the minimum of 30% established in the Company’s statute.

The amount to be distributed adds to the BRL 223,629,329.66 (two hundred and twenty-three million, six hundred and twenty-nine thousand, three hundred and twenty-nine reais and sixty-six cents) already declared and paid in the first three quarters of the year, resulting in BRL 459,389,329.66 (four hundred and fifty-nine million, three hundred and eighty-nine thousand, three hundred and twenty-nine reais and sixty-six cents) declared in the year 2021.

The payment will be made through the depository institution of the shares – Banco Bradesco S.A. (“Banco Bradesco”), through an automatic credit to those shareholders who have a checking account at Banco Bradesco and, also, to those shareholders who have already informed their CPF or CNPJ and respective bank account information to Banco Bradesco. Shareholders who have not provided such information must go to a Bradesco Agency to update their registration data. Shareholders holding shares in custody at B3 S.A. – Brasil, Bolsa, Balcão will receive the ISE through their custody agents, and shareholders with ADRs (American Depositary Receipts) will receive the ISE via JP Morgan Chase Bank, the contracted depository institution.
