AVISO AOS ACIONISTAS

2^a Distribuição antecipada de dividendos do exercício social de 2024

Comunicamos aos Acionistas que o Conselho de Administração da Grendene S.A. (“Companhia”), em reunião realizada em 8 de agosto de 2024, deliberou e aprovou “ad referendum” da Assembleia Geral Ordinária que apreciar o balanço patrimonial e as demonstrações financeiras referente ao exercício social a ser encerrado em 31 de dezembro de 2024, a 2ª (segunda) distribuição antecipada de dividendos referente ao resultado líquido apurado até 30 de junho de 2024, no valor de R$13.222.292,70 (treze milhões, duzentos e vinte dois mil, duzentos e noventa e dois reais e setenta centavos), cabendo aos acionistas titulares de ações ordinárias de emissão da Companhia, o valor de R$0,014656261 por ação (excluídas as ações em tesouraria), que serão pagos aos acionistas a partir de 04 de setembro de 2024, sem remuneração, atualização monetária ou retenção de Imposto de Renda.

Farão jus ao recebimento dos dividendos antecipados os acionistas titulares de ações ordinárias de emissão da Companhia inscritos nos registros da Companhia em 21 de agosto de 2024 (data do corte). Desta forma, as ações ordinárias de emissão da Companhia passarão a ser negociadas ex-dividendo a partir de 22 de agosto de 2024, na B3 S.A. - Brasil, Bolsa, Balcão (“B3”).

Os acionistas receberão o crédito conforme cadastro fornecido ao Banco Bradesco S.A., instituição depositária das ações desta Companhia, e aqueles que possuem as ações custodiadas na B3 terão seus créditos repassados pelos respectivos agentes de custódia, a partir da data de início do pagamento. Os acionistas com cadastros desatualizados e/ou que não contenham o número do CPF/CNPJ ou opção de crédito bancário, terão os seus créditos depositados após a regularização cadastral, a qual poderá ser feita em qualquer agência do Banco Bradesco S.A.

NOTICE TO SHAREHOLDERS

2^nd distribution of interim dividends for the 2024 Fiscal Year

We hereby inform the Shareholders that the Board of Directors of Grendene S.A. ("Company"), at a meeting held on August 8, 2024, resolved and approved “ad referendum” of the Annual General Meeting which will review the balance sheet and financial statements for the fiscal year ending on December 31, 2024, the 2^nd (second) early distribution of dividends referring to the net result calculated until June 30, 2024, in the amount of R$13,222,292.70 (thirteen million, two hundred and twenty-two thousand, two hundred and ninety-two reais and seventy cents), with shareholders holding common shares issued by the Company, in the amount of R$0.014656261 per share (excluding treasury shares), to be paid to shareholders starting from September 4, 2024, without interest, monetary correction or withholding of Income Tax.

The interim dividends will be payable to stockholders in the Company’s books of record on August 21, 2024 (the cut-off date). Thus, Grendene common shares will be traded ex-dividend on August 22, 2024 on the B3 S.A. - Brasil, Bolsa, Balcão (São Paulo Stock Exchange).

Shareholders will have their credits available on the date of the start of the payment of this right, in accordance with their current account and bank domicile supplied to Banco Bradesco S. A., the depositary institution of the shares of this Company, and those who hold the shares held in custody at B3 will have their credits transferred by the respective custodian agents, as of the date of the start of payment. Shareholders with outdated registrations or that do not contain the CPF or CNPJ number or bank credit option will have their credits deposited after the cadastral regularization, which may be done at any branch of Banco Bradesco S.A.
