AVISO AOS ACIONISTAS

DESKTOP S.A. (“Companhia”) informa aos seus acionistas e ao mercado em geral que, em Assembleia Geral Ordinária e Extraordinária da Companhia realizada nesta data (“AGOE”), foi declarada a distribuição e aprovado o pagamento de dividendos referentes ao exercício social encerrado em 31 de dezembro de 2023, no montante total de R$ 4.860.947,04 (quatro milhões, oitocentos e sessenta mil, novecentos e quarenta e sete reais e quatro centavos), e valor bruto de R$ 0,04214913726 por ação ordinária de emissão da Companhia.

Farão jus ao recebimento dos dividendos os acionistas titulares de ações de emissão da Companhia registrados como tal ao final do dia 19 de abril de 2024, data de realização da AGOE. As ações da Companhia passarão a ser negociadas ex-dividendos a partir de 22 de abril de 2024.

O pagamento dos dividendos será realizado até 30 de dezembro de 2024, em moeda corrente nacional, em parcela única e divulgadas oportunamente aos acionistas por meio de novo aviso aos acionistas.

Não haverá atualização monetária ou incidência de juros entre a data da declaração dos dividendos e a data do efetivo pagamento.

Na data do pagamento do dividendo, conforme a ser definido pela Diretoria, a Companhia creditará o dividendo devido a cada acionista, segundo o número de ações ordinárias de sua titularidade na data-base de 19 de abril de 2024 (inclusive), de acordo com o domicílio bancário fornecido à Itaú Corretora de Valores S.A., instituição responsável pela escrituração das ações da Companhia (“Escriturador”).

Para os acionistas cujo cadastro não contenha a inscrição do número do CPF/CNPJ ou a indicação de “Banco/Agência/Conta Corrente”, os dividendos somente serão creditados depois da atualização cadastral, nos prazos determinados pelo Escriturador.

Os acionistas cujas ações estão depositadas em instituições prestadoras dos serviços de custódia de valores mobiliários terão seus dividendos creditados conforme procedimentos adotados pelas instituições depositárias.

O recebimento do dividendo será isento de Imposto de Renda, de acordo com o artigo 10 da Lei nº 9.249, de 26 de dezembro de 1995, conforme alterada.

NOTICE TO SHAREHOLDERS

DESKTOP S.A. (“Company”), hereby informs its shareholders and the market in general that the Company approved the payment date of the dividends declared at the Company’s Annual Shareholders’ Meeting held on April 19, 2024, referring to the fiscal year ended on December 31, 2023, in the total amount of R$ 4,860,947.04 (four million, eight hundred and sixty thousand, nine hundred and forty-seven reais and four cents) and a gross amount of R$ 0.04214913726 per common share issued by the Company.

Shareholders holding shares issued by the Company and registered as such at the end of April 19, 2024, the date of the Company’s Annual Shareholders’ Meeting, will be entitled to receive dividends. The Company's shares will be traded ex-dividend as of April 22, 2024.

Dividends will be paid by December 30, 2024, in local currency, in a single installment and disclosed to shareholders in due course by means of a new notice to shareholders.

There will be no monetary restatement or incidence of interest between the date of declaration of the dividend and the date of actual payment.

On the date of payment of the dividend, as to be defined by the Executive Board, the Company will credit the dividend due to each shareholder, according to the number of common shares held by them on the base date of April 19, 2024 (inclusive), in accordance with the bank domicile provided to Itaú Corretora de Valores S.A., the institution responsible for the bookkeeping of the Company's shares ("Bookkeeper").

For shareholders whose registration does not contain the CPF/CNPJ number or the indication of "Bank/Branch/Current Account", dividends will only be credited after the registration has been updated, within the deadlines set by the Bookkeeper.

Shareholders whose shares are deposited with institutions providing securities custody services will have their dividends credited in accordance with the procedures adopted by the depositary institutions.

Receipt of the dividend will be exempt from income tax, in accordance with article 10 of Law No. 9,249 of December 26, 1995, as amended.
