AVISO AOS ACIONISTAS

O GRUPO MULTI S.A. (“Companhia”) comunica aos seus acionistas que, em reunião realizada nesta data, o Conselho de Administração da Companhia aprovou a distribuição de dividendos (“Dividendos”) no montante total de R$ 40.750.000,00 (quarenta milhões, setecentos e cinquenta mil reais), equivalente ao valor de R$ 0,05046966326 por ação ordinária, nominativa, escritural e sem valor nominal de emissão da Companhia, desconsideradas as ações em tesouraria.

1.Farão jus aos Dividendos ora declarados os acionistas da Companhia inscritos como tais em 5 de janeiro de 2026,inclusive, respeitadas as negociações realizadas até essa data, inclusive.

2.As ações de emissão da Companhia passarão a ser negociadas ex-dividendos a partir de 6 de janeiro de 2026,inclusive.

3.Os Dividendos serão pagos em 13 de janeiro de 2026, à vista, mediante crédito em conta corrente.

4.Não haverá atualização monetária ou incidência de juros entre a presente data e a data do efetivo pagamentodos Dividendos ora declarados.

5.Na data do pagamento dos Dividendos, a Companhia creditará o Dividendo devido a cada acionista, segundo onúmero de ações ordinárias de sua titularidade na data-base de 5 de janeiro de 2026, inclusive, na respectiva conta edomicílio bancário fornecido pelo acionista ao BTG Pactual Serviços Financeiros S.A. DTVM, instituição responsável pelaescrituração das ações da Companhia.

6.Para os acionistas cujo cadastro não contenha a inscrição do número do CPF/CNPJ ou a indicação de“Banco/Agência/Conta Corrente”, os valores relativos aos Dividendos somente serão creditados depois da atualizaçãocadastral, nos prazos determinados pelo BTG Pactual Serviços Financeiros S.A. DTVM.

7.Os valores relativos aos Dividendos declarados serão imputados ao dividendo mínimo obrigatório do exercíciosocial a encerrar-se em 31 de dezembro de 2025.

8.Os acionistas cujas ações estão depositadas em instituições prestadoras dos serviços de custódia de valoresmobiliários terão seus Dividendos creditados conforme procedimentos adotados pelas instituições depositárias.

NOTICE TO SHAREHOLDERS

GRUPO MULTI S.A. (“Company”) hereby informs its shareholders that, at a meeting held on this date, the Company’s Board of Directors approved the distribution of dividends (“Dividends”) in the total amount of R$ 40,750,000.00 (forty million, seven hundred and fifty thousand reais), corresponding to R$ 0.05046966326 per common, registered, book-entry and no-par-value share issued by the Company, excluding treasury shares.

1 The shareholders of the Company registered as such as of January 5, 2026, inclusively, observing the trades carried out up to that date, inclusively, shall be entitled to the Dividends hereby declared.

2 The shares issued by the Company will be traded ex-dividends as of January 6, 2026, inclusively.

3 The Dividends will be paid on January 13, 2026, in cash, by credit to a checking account.

4 There will be no monetary restatement or interest accrual between the present date and the actual payment date of the Dividends hereby declared.

5 On the Dividends payment date, the Company will credit the Dividend due to each shareholder, according to the number of common shares held by such shareholder on the record date of January 5, 2026, inclusively, to the respective account and banking domicile provided by the shareholder to BTG Pactual Serviços Financeiros S.A. DTVM, the institution responsible for maintaining the Company’s share registry.

6 For shareholders whose registration does not include the CPF/CNPJ number or the indication of “Bank/Branch/Checking Account,” the amounts related to the Dividends will only be credited after the registration update, within the deadlines determined by BTG Pactual Serviços Financeiros S.A. DTVM.

7 The amounts related to the declared Dividends will be allocated to the mandatory minimum dividend for the fiscal year ending on December 31, 2025.

8 Shareholders whose shares are deposited with securities custody service providers will have their Dividends credited in accordance with the procedures adopted by the respective depository institutions.
