AVISO AOS ACIONISTAS

O BK Brasil Operação e Assessoria a Restaurantes S.A. (“Companhia”) comunica aos seus acionistas que, nesta data, o Conselho de Administração da Companhia aprovou a distribuição de juros sobre capital próprio, à conta de parte dos lucros apurados entre 01/10/2018 e 31/12/2018 para os acionistas da Companhia, no montante total de R$ 19.860.862,67 (dezenove milhões, oitocentos e sessenta mil, oitocentos e sessenta e dois reais e sessenta e sete centavos), equivalente a R$ 0,088554947 por ação, nos termos do artigo 29, “iii”, do Estatuto Social da Companhia.

O pagamento de juros sobre capital próprio estará sujeito à retenção de Imposto de Renda na fonte, exceto para os acionistas que sejam comprovadamente imunes ou isentos. Para esse fim, os acionistas deverão encaminhar documentos comprobatórios da isenção ou imunidade tributária para o Departamento de Relações com Investidores da Companhia, no seguinte endereço: Alameda Tocantins, nº 350, 10º andar, Alphaville, Cidade de Barueri, Estado de São Paulo, CEP 06455-020, impreterivelmente até o dia 06 de março de 2019.

O montante líquido a ser distribuído na forma de juros sobre capital próprio será imputado, ad referendum da Assembleia Geral Ordinária da Companhia, ao montante total de dividendos que vier a ser declarado pelos acionistas da Companhia para o exercício social de 2018, na forma da legislação e regulamentação aplicáveis.

O pagamento dos juros sobre capital próprio será realizado em 29 de março de 2019 (“Data do Pagamento”), com base na posição acionária de 07 de março de 2019, sendo que as ações de emissão da Companhia serão negociadas “ex-juros sobre capital próprio” a partir de 08 de março de 2019, inclusive. Entre a data deste Aviso aos Acionistas e a Data do Pagamento não incidirá qualquer atualização monetária sobre o montante declarado.

NOTICE TO SHAREHOLDERS

BK Brasil Operação e Assessoria a Restaurantes S.A. (“Company”) hereby informs its shareholders that, on the date hereof, the Company’s Board of Directors approved, the payment of interest on capital, to the account of part of the profits calculated between October 1st, 2018 and December 31, 2018 to the Company’s shareholders, in the total gross amount of nineteen million, eight hundred and sixty thousand, eight hundred and sixty-two reais and sixty-seven centavos (R$ 19,860,862.67), equivalent to R$ 0.088554947 per share, under the terms of article 29, “iii”, of the Company´s Bylaws.

The payment of interest on capital is subject to the withholding income tax, except for shareholders that demonstrate to be immune or exempt. For that purpose, the shareholders must send documents proving the tax exemption or immunity to the Company´s Investor Relations Department, at the following address: Alameda Tocantins, No. 350, 10th floor, Alphaville, City of Barueri, State of São Paulo, no later than March 06, 2019.

The net amount to be payed as interest on capital shall be allocated, ad referendum of the Annual Shareholders Meeting, to the total amount of dividends to be declared by the Company´s shareholders for the 2018 fiscal year, in accordance with the applicable laws and regulation.

The interest on capital will be paid on March 29, 2019 (“Payment Date”), based on the shareholding positions as of March 07, 2019, and the Company's shares will be traded “ex-interest on own capital” as of March 08, 2019, this day included. Between the date of this Company´s Notice to Shareholders and the Payment Date there will be no monetary restatement on the amount declared.
