AVISO AOS ACIONISTAS

A BLAU FARMACÊUTICA S.A. (“Blau” ou “Companhia”), comunica aos Senhores Acionistas que, em Reunião do Conselho de Administração realizada nesta data, deliberou-se pela distribuição de Juros sobre Capital Próprio (“JCP”) no montante total bruto de BRL 32.539.126,29 (trinta e dois milhões, quinhentos e trinta e nove mil, cento e vinte e seis reais e vinte e nove centavos). Excluídas as ações em tesouraria, o valor bruto a ser pago por ação é de R$0,1829780750, sujeito à retenção do imposto de renda na fonte à alíquota de 15% (quinze por cento).

O pagamento dos JCP declarados ora deliberado deverá ser realizado em parcela única, em 17 de abril de 2023. Tal benefício aplica-se à posição acionária do dia 24 de março de 2023, sendo certo que, a partir de 27 de março de 2023, as ações da Companhia serão negociadas “ex-juros sobre capital próprio”. Os JCP declarados, líquidos do imposto de renda na fonte, serão imputados aos dividendos mínimos obrigatórios relativos ao exercício de 2023, conforme artigo 9º, parágrafo 7º, da Lei 9.249/95; no artigo 2°, da Resolução CVM 143/2022; e na alínea “b” do Artigo 28 do Estatuto Social da Companhia.

NOTICE TO SHAREHOLDERS

BLAU FARMACÊUTICA S.A. (“Blau” or “Company”), hereby announces to its shareholders that, in the Board of Directors’ Meeting held today, was approved the payment of interest on equity in the total gross amount of BRL 32,539,126.29. Excluding treasury shares, the gross amount per share to be paid is BRL 0.1829780750 subject to withholding income tax at the rate of 15%.

The payment of the declared interest on equity resolved herein shall be carried out in a single installment, on April 17^th, 2023. Those who own shares of the Company will have the right of payment according to the shareholding position as of March 24^th, 2023. From March 27^th, 2023 the company´s shares will trade excluding interest on equity. The declared Interest on equity, net of withholding income tax, will be imputed to the mandatory minimum dividends for fiscal year 2023, pursuant to article 9, paragraph 7, of Law 9,249/95; item III of CVM Resolution 683/2012; and item “b” of Article 28 of the Company's Bylaws.
