Distribuição de Dividendos

SER EDUCACIONAL S.A. (“Companhia”), um dos maiores grupos privados de educação do Brasil e líder nas regiões Nordeste e Norte, comunica aos Senhores Acionistas que foi aprovada, em reunião do Conselho de Administração realizada em 22 de agosto de 2019, por unanimidade de votos e sem quaisquer ressalvas, “ad referendum” da Assembleia Geral Ordinária que deliberar as Demonstrações Financeiras referente ao exercício social a se encerrar em 31 de dezembro de 2019, a distribuição de dividendos intermediários, conforme estabelecido na Política de Dividendos da Companhia em vigor, na importância de 30% (trinta por cento) do lucro líquido apurado no balanço patrimonial levantado em 30 de junho de 2019, no valor total de R$ 32.803.043,00 (trinta e dois milhões, oitocentos e três mil e quarenta e três reais), correspondentes a 0,254837208 por ação. O pagamento dos dividendos será realizado em 10 de setembro de 2019, sem retenção de imposto de renda na fonte e sem correção monetária. De acordo com a legislação vigente, farão jus aos dividendos os acionistas da Companhia titulares de ações em 27 de agosto de 2019. Desse modo, a partir de 28 de agosto de 2019 (inclusive), as ações da Companhia passam a ser negociadas "Ex-Dividendos".

NOTICE TO SHAREHOLDERS

Dividends Distribution

SER EDUCACIONAL S.A. (“Company ”), one of the largest private education groups in Brazil and leader in the Northeast and North regions, hereby informs that at the meeting of the Board of Directors held on August 22^nd, 2019, by unanimous vote and without any reservations, “ad referendum” of the Annual General Meeting that resolves the Financial Statements for the fiscal year ending December 31^st, 2019, approved the distribution of interim dividends, in the amount of thirty percent (30%) of the net income recorded in the balance sheet as of June 30, 2019, in the total amount of R$ 32,803,043.00 (thirty-two million, eight hundred and three thousand and forty-three reais), corresponding to 0.254837208 per share. Payment of dividends will be made on September 10^th, 2019, without withholding of income tax at source and without monetary correction. Pursuant to the law, the shareholders of the Company holding shares will be entitled to dividends as of August 27^th, 2019. Thus, from August 28^th, 2019 (inclusive), the Company's shares will be traded "Ex-Dividends".
