AVISO AOS ACIONISTAS

Distribuição de Dividendos

OURO FINO SAÚDE ANIMAL PARTICIPAÇÕES S.A. (“Companhia”) comunica aos seus acionistas e ao mercado em geral que, nos termos da proposta da administração da Companhia disponibilizada ao mercado 13 de março de 2018, conforme alterada (“Proposta da Administração”) e conforme aprovado em assembleia geral ordinária realizada nesta data (“AGO”), a Companhia distribuirá aos seus acionistas, a título de dividendo mínimo obrigatório (incluindo os juros sobre capital próprio já declarados) e dividendos complementares, o montante total de R$10.846.873,33 (dez milhões, oitocentos e quarenta e seis mil, oitocentos e setenta e três reais e trinta e três centavos), correspondente a R$0,20105789 por ação de emissão da Companhia (líquido das retenções de Imposto de Renda Retido na Fonte (“IRRF”) incidentes sobre os juros sobre capital próprio já declarados).

O montante total dos dividendos a serem distribuídos aos acionistas da Companhia compreendem os seguintes valores: (i) dividendo mínimo obrigatório de 25% (vinte e cinco por cento) do lucro líquido apurado no exercício findo em 31 de dezembro de 2017, no montante de R$9.050.605,27, correspondentes a R$0,16776222 por ação, compostos por (a) R$6.000.208,45, distribuídos a título de juros sobre capital próprio, conforme aprovado na reunião do Conselho de Administração realizada em 14 de dezembro de 2017, sobre a qual incidirá a retenção de R$ 695.664,82 a título de IRRF, resultando no montante líquido de R$5.304.543,63 para distribuição aos acionistas, equivalentes a R$0,09832514 por ação; e (b) saldo remanescente de R$3.746.061,64, que corresponde a R$0,06943708 por ação, sem retenção de IRRF, conforme legislação em vigor; e (iii) pagamento de R$1.796.268,06 a título de dividendos complementares, que corresponde a R$0,03329567 por ação, sem retenção de IRRF.

A Companhia reitera a informação de que os acionistas que farão jus ao dividendo mínimo obrigatório e complementares (sem considerar os juros sobre capital próprio já declarados) serão aqueles registrados como tal na data da AGO, ou seja, na presente data, sendo que, a partir de 16 de abril de 2018, as ações da Companhia passarão a ser negociadas “ex-dividendos”. Farão jus ao recebimento dos juros sobre capital próprio, por sua vez, os acionistas que eram titulares de ações em 19 de dezembro de 2017, data em que foi realizada a reunião do Conselho de Administração que aprovou sua distribuição.

O dividendo mínimo obrigatório, os juros sobre capital próprio e os dividendos complementares serão pagos em dinheiro até 31 de maio de 2018, conforme aprovado por meio da AGO. A Companhia manterá seus acionistas e o mercado em geral informados sobre eventuais novas informações do assunto objeto do presente Aviso aos Acionistas.

NOTICE TO SHAREHOLDERS

Distribution of Dividends

OURO FINO SAÚDE ANIMAL PARTICIPAÇÕES S.A. (“Company”), communicates its shareholders and the market in general that, pursuant to the Company’s management’s proposal disclosed to the market on March 13, 2018, as amended (“Management’s Proposal”) and as approved at the shareholders’ general meeting held on this date (“General Meeting”), the Company will distribute to its shareholders, as minimum mandatory dividend (including the interest on net equity already declared) and complementary dividends, the total amount of ten million, eight hundred and forty-six thousand, eight hundred and seventy-three reais and thirty-three cents (R$10,846,873.33), corresponding to R$0.20105789 per share issued by the Company (net of the withholdings of the Income Tax Withholding (Imposto de Renda Retido na Fornte) (“IRRF”) imposed on the interest on net equity already declared).

The total amount of the dividends to be distributed to the Company’s shareholders comprises the following amounts: (i) minimum mandatory dividends of twenty-five per cent (25%) of the net income for the fiscal year ended on December 31, 2017, in the total amount of R$9,050,605.27, corresponding to R$0.16776222 per share, comprised of (a) R$6,000,208.45 distributed as interest on net equity, as approved at the Board of Directors’ Meeting held on December 14, 2017, which will include the withholding of R$695,664.82 as IRRF, resulting in the net amount of R$5,304,343.63 to be distributed to the shareholders, equivalent to R$0.09832514 per share; and (b) the remaining balance of R$3,746,061.64, corresponding to R$0.06943708 per share, without the IRRF’s withholding; and (ii) payment of R$1,769,268.06 as complementary dividends, which corresponds to R$0.03329567 per share, without the IRRF’s withholding.

The Company reasserts that the information regarding the complementary and minimum mandatory dividends (without considering the interest on net equity already declared) due to the Company’s shareholders will correspond to the information registered as such in the General Meeting’s date, that is, on the present date; and, as of April 16, 2018, the Company’s shares will be traded “ex-dividends”. The shareholders’ who were holders of shares on December 19, 2017, date on which was held the Board of Directors’ Meeting that approved the distribution, will be entitled to the interest on net equity.

The minimum mandatory dividend, the interest on net equity and the complementary dividends will be paid in cash until May 31, 2018, as approved by the General Meeting.

The Company will keep its shareholders and the market in general informed about possible new information regarding matters disclosed in this Notice to Shareholders.

OURO FINO SAÚDE ANIMAL PARTICIPAÇÕES S.A. (“Companhia”) comunica aos seus acionistas e ao mercado em geral que, nos termos deliberados em assembleia geral ordinária realizada em 13 de abril de 2018 (“AGO”) e no Aviso aos Acionistas apresentado em 13 de abril de 2018, foi definida a data de pagamento do montante total dos dividendos que será em 25 de abril de 2018.

A Companhia reitera a que o montante total dos dividendos a serem distribuídos aos acionistas da Companhia compreendem os seguintes valores: (i) dividendo mínimo obrigatório de 25% (vinte e cinco por cento) do lucro líquido apurado no exercício findo em 31 de dezembro de 2017, no montante de R$9.050.605,27, compostos por (a) R$6.000.208,45, distribuídos a título de juros sobre capital próprio, correspondentes a R$0,11122000 por ação, conforme aprovado na reunião do Conselho de Administração realizada em 14 de dezembro de 2017, sobre a qual incidirá a retenção de R$ 695.664,82 a título de IRRF, resultando no montante líquido de R$5.304.543,63 para distribuição aos acionistas; e (b) saldo remanescente de R$3.746.061,64, que corresponde a R$0,06943708 por ação, sem retenção de IRRF, conforme legislação em vigor; e (iii) pagamento de R$1.796.268,06 a título de dividendos complementares, que corresponde a R$0,03329567 por ação, sem retenção de IRRF.

Distribution of Dividends

OURO FINO SAÚDE ANIMAL PARTICIPAÇÕES S.A. (“Company”), communicates its shareholders and the market in general that it was established the date of payment of its dividends to be April 25, 2018 pursuant to the Company’s approved at the shareholders’ general meeting held on April 13, 2018 (“General Meeting”) and the Notice to Shareholders that was released on April 13, 2018.

The Company reasserts that the total amount of the dividends to be distributed to the Company’s shareholders comprises the following amounts: (i) minimum mandatory dividends of twenty-five per cent (25%) of the net income for the fiscal year ended on December 31, 2017, in the total amount of R$9,050,605.27, comprised of (a) R$6,000,208.45 distributed as interest on net equity, corresponding to R$0.11122000 per share, as approved at the Board of Directors’ Meeting held on December 14, 2017, which will include the withholding of R$695,664.82 as IRRF, resulting in the net amount of R$5,304,343.63 to be distributed to the shareholders; and (b) the remaining balance of R$3,746,061.64, corresponding to R$0.06943708 per share, without the IRRF’s withholding; and (ii) payment of R$1,769,268.06 as complementary dividends, which corresponds to R$0.03329567 per share, without the IRRF’s withholding.
