AVISO AOS ACIONISTAS

EQUATORIAL ENERGIA S.A. (“Companhia”), comunica aos acionistas e ao mercado em geral que, em Assembleia Geral Ordinária da Companhia realizada no dia 28 de abril de 2023, às 11h00, foi aprovada, dentre outras matérias, o pagamento de dividendos mínimos aos acionistas, conforme abaixo:

Consignar que farão jus aos dividendos ora declarados, no montante total de R$ 385.155.874,25 (trezentos e oitenta e cinco milhões, cento e cinquenta e cinco mil, oitocentos e setenta e quatro reais, e vinte e cinco centavos), correspondente a aproximadamente R$ 0,35 por ação, aqueles que forem acionistas da Companhia nesta data, respeitadas as negociações realizadas até esta data (inclusive). Dessa forma, a partir de 02 de maio de 2023, inclusive, as ações da Companhia serão negociadas ex-dividendos.

Consignar que os dividendos ora declarados serão pagos pela Companhia até 31 de dezembro de 2023, em data a ser fixada por deliberação da administração da Companhia, sem atualização monetária ou incidência de juros entre a presente data e a data de efetivo pagamento dos dividendos declarados. O pagamento dos dividendos ora declarados observará os procedimentos da instituição financeira prestadora dos serviços de escrituração das ações de emissão da Companhia, conforme informações de aviso aos acionistas a ser divulgado oportunamente pela Companhia.

NOTICE TO SHAREHOLDERS

EQUATORIAL ENERGIA S.A. (“Company”), announces to shareholders and the market in general that, at the Company's Ordinary General Meeting held on April 28, 2023, at 11:00 am, the payment of dividends to shareholders was approved, among other matters, as below:

Consign that they will be entitled to the dividends declared herein, in the total amount of BRL 385,155,874.25 (three hundred and eighty-five million, one hundred and fifty-five thousand, eight hundred and seventy-four reais, and twenty-five cents), corresponding to at approximately R$0.35 per share, those who are shareholders of the Company on this date, respecting the negotiations carried out up to this date (inclusive). Thus, as of May 2, 2023, inclusive, the Company's shares will be traded ex-dividends.

Consign that the dividends now declared will be paid by the Company until December 31, 2023, on a date to be fixed by resolution of the Company's management, without monetary restatement or incurrence of interest between the present date and the date of effective payment of the declared dividends. The payment of the dividends declared herein will observe the procedures of the financial institution that provides bookkeeping services for the shares issued by the Company, according to information in the notice to shareholders to be released by the Company in due course.
