AVISO AOS ACIONISTAS

PAGAMENTO DE JUROS SOBRE CAPITAL PRÓPRIO

A TOTVS S.A. (B3: TOTS3) (“Companhia” ou “TOTVS”) comunica aos seus acionistas que o Conselho de Administração da Companhia, em reunião realizada nesta data, aprovou, ad referendum da Assembleia Geral, o pagamento de juros sobre capital próprio (“JCP”), no montante total de R$44.306.677,21 (quarenta e quatro milhões, trezentos e seis mil, seiscentos e setenta e sete reais e vinte e um centavos), correspondente a R$0,23 (vinte e três centavos) por ação, os quais, nos termos do artigo 39 do Estatuto Social, serão imputados aos dividendos obrigatórios relativos ao exercício de 2019.

O pagamento dos juros sobre capital próprio estará sujeito às seguintes condições:

1. Terão direito aos JCP objeto deste comunicado todos os acionistas titulares de ações de emissão da Companhia na data base de 23 de dezembro de 2019; 2. As negociações de ações da Companhia, a partir do dia 26 de dezembro de 2019, inclusive, serão realizadas ex-direito; 3. Os JCP serão pagos aos acionistas no dia 20 de maio de 2020, sem qualquer correção monetária ou remuneração, mediante crédito em conta corrente e domicílio bancário fornecidos ao Banco Itaú S.A.; 4. Os acionistas cujo cadastro não contenha CPF/CNPJ ou indicação de Banco/Agência e/ou Conta Corrente terão os seus direitos creditados mediante regularização do seu cadastro, junto às agências do Banco Itaú S.A.; 5. O valor do JCP está sujeito à retenção de Imposto de Renda Retido na Fonte – “IRRF”, de acordo com a legislação aplicável; e 6. Os acionistas isentos ou imunes, para que não sofram retenção do IRRF, deverão encaminhar documentação comprobatória da respectiva condição, até o dia 23 de dezembro de 2019, para a sede social da Companhia, no seguinte endereço: Avenida Braz Leme, nº 1000, Casa Verde - CEP: 02511-000 – São Paulo - SP - Tel.: (11) 2099-7773, A/C: Departamento de Relações com Investidores.

NOTICE TO SHAREHOLDERS

PAYMENT OF INTEREST ON EQUITY

TOTVS S.A. (B3: TOTS3) (“Company” or “TOTVS”) hereby informs its shareholders that the Board of Directors, in a meeting held today, approved, ad referendum of the Annual Shareholders´ Meeting, the payment of interest on equity (“JCP”) in the total amount of R$44,306,677.21 (forty four million, three hundred and six thousand, six hundred and seventy seven reais and twenty one cents), corresponding to R$0.23 (twenty three cents) per share of the Company which, pursuant to the article 39 of Company’s By-laws, shall be imputed to the mandatory dividends for the fiscal year of 2019.

The payment of interest on equity will be subject to the following conditions:

1. All shareholders registered as such on December 23, 2019 shall be entitled to receive the interest on equity; 2. TOTVS’ shares will be traded “ex-rights” as of December 26, 2019, inclusive; 3. The interest on equity will be paid on May 20, 2020, with no interest whatsoever, at the bank account and banking domicile, as informed to Banco Itaú S.A.; 4. For shareholders whose registration does not contain their individual or corporate taxpayer’s number (CPF/CNPJ) or bank/branch and/or current account number, the payment will be made after the updating of such information with Banco Itaú S.A.; 5. The amount of the interest on stockholder’s capital is subject to withholding income tax, according to the applicable law; and 6. Shareholders immune or exempt of withholding income tax shall send to the Company the documents proving such condition, until December 23, 2019, to the following address: Avenida Braz Leme, nº 1000, Casa Verde - CEP: 02511-000 – São Paulo - SP - Phone: (11) 2099-7773, to the Investor Relations Department of TOTVS.
