AVISO AOS ACIONISTAS

Joinville, 28 de abril de 2023 - A NEOGRID PARTICIPAÇÕES S.A., companhia aberta com sede na Cidade de Joinville, Estado de Santa Catarina, Avenida Santos Dumont, nº 935, 1º andar, Bairro Santo Antonio, CEP 89.218-105 (“Companhia” ou “Neogrid”), informa aos seus acionistas e ao mercado em geral que, em Assembleia Geral Ordinária realizada em 28 de abril de 2023, foi aprovada a distribuição de dividendos pela Companhia, no montante total de R$ 3.379.890,91 (três milhões, trezentos e setenta e nove mil, oitocentos e noventa reais e noventa e um centavos) (“Dividendos”).

(1) Conforme base acionária de 28 de abril de 2023, excetuando-se as ações em tesouraria, observado que os valores apresentados poderão sofrer ajustes em decorrência de movimentação das ações em tesouraria.

1.O pagamento dos Dividendos será efetuado em 15 de junho de 2023, em moeda corrente nacional, com base na posição acionária de encerramento do pregão da B3 S.A. - Brasil, Bolsa, Balcão (“B3”), do dia 28 de abril de 2023, inclusive. As ações de emissão da Companhia passarão a negociar “ex-dividendos” a partir do dia 02 de maio de 2023, inclusive.

2.Os acionistas terão seus créditos disponíveis de acordo com o domicílio bancário fornecido ao Itaú Corretora de Valores Mobiliários S.A., instituição responsável pela escrituração das ações da Companhia.

3.Para os acionistas cujo cadastro não contenha a inscrição do número do CPF/CNPJ ou a indicação de “Banco/Agência/Conta Corrente”, os Dividendos somente serão creditados depois da atualização cadastral e nos prazos determinados pelo Itaú Corretora de Valores Mobiliários S.A.

4.Não haverá atualização monetária ou incidência de juros entre a data da declaração dos Dividendos e a data do efetivo pagamento.

5.Os Dividendos são isentos de Imposto de Renda, de acordo com a legislação em vigor.

NOTICE TO SHAREHOLDERS

Joinville, April 28, 2023 - NEOGRID PARTICIPAÇÕES S.A., a publicly-held company with headquarters in Joinville, Santa Catarina, at Avenida Santos Dumont, No. 935, 1^st floor, Bairro Santo Antonio, CEP 89.218-105 (“Company” or “Neogrid”) hereby informs its shareholders and the market in general that the Annual Shareholders' Meeting held on April 28, 2023, approved the distribution of dividends by the Company, in the amount of 3,379,890.91 (three million, three hundred and seventy-nine thousand, eight hundred and ninety reais and ninety-one cents) (“Dividends”).

(1) According to the shareholder base as of April 28, 2023, except for treasury shares. We highlight that the amounts indicated herein may be adjusted due to transactions involving of treasury shares.

1.The payment of the Dividends will be made on June 15, 2023, in national currency, based on the shareholding position held at the end of B3 S.A. - Brasil, Bolsa, Balcão (“B3”) trading session on April 28, 2023, inclusive. The Company’s shares shall be traded “ex-dividend” as of May 02, 2023, inclusive.

2.The shareholders will have their credits available according to the bank domicile provided to Itaú Corretora de Valores Mobiliários S.A., institution responsible for bookkeeping the Company’s shares.

3. For shareholders whose registration does not contain the registration of the Individual Taxpayer Registration Number (CPF) or General Taxpayers’ Registry (CNPJ) or the indication of “Bank/Agency/Current Account”, the Dividends will only be credited after the registration update and within the terms determined by Itaú Corretora de Valores Mobiliários S.A.

4.There will be no monetary restatement or incidence of interest between the Dividend declaration date and the effective payment date.

5.Dividends are exempt from Income Tax, in accordance with the current legislation.
