AVISO AOS ACIONISTAS

Juros sobre Capital Próprio

São Paulo, 20 de junho de 2022 - A São Martinho S.A (B3: SMTO3), (“Companhia”), comunica que, em Reunião do Conselho de Administração realizada nesta data, foi aprovado o pagamento de juros sobre capital próprio (“JCP”), no valor bruto de R$ 115.000.000,00 (cento e quinze milhões de reais) equivalente a R$ 0,33201004139 por ação, com retenção de Imposto de Renda na Fonte de acordo com a legislação aplicável.

O montante de JCP será pago aos acionistas no dia 05.07.2022, sem atualização monetária entre a presente data e a data do pagamento, e será deduzido dos dividendos do exercício social a ser encerrado em 31.03.2023.

Terão direito ao recebimento de JCP os acionistas constantes da posição acionária verificada em 23.06.2022, sendo as ações negociadas “ex” juros sobre capital próprio a partir de 24.06.2022.

Aos acionistas custodiados no Banco Bradesco S.A., os créditos serão disponibilizados de acordo com o domicílio bancário fornecido à instituição financeira, a partir da data de início do pagamento dos JCP.

Aos acionistas custodiados na B3 S.A. - Brasil. Bolsa. Balcão, os JCP serão pagos e repassados por intermédio dos agentes de custódia.

NOTICE TO SHAREHOLDERS

Interest on Equity

São Paulo, June 20, 2022 - São Martinho S.A. (B3: SMTO3), (“Company”) hereby announces that the Board of Directors Meeting held on this date approved the payment of interest on equity (“Interest”) in the gross amount of one hundred fifteen million reais (R$115,000,000.00) equivalent to R$0.33201004139 per share, with income tax withheld at source in accordance with applicable laws.

The Interest will be paid to shareholders on July 5, 2022, without inflation adjustment between the current and payment dates, and will be deducted from dividends for the fiscal year ending on March 31, 2023.

Shareholders of record on June 23, 2022 will be entitled to receive Interest and shares will be traded ex-Interest starting from June 24, 2022.

For shareholders with shares held in custody at Banco Bradesco S.A., payment will be credited based on the bank account information provided to the financial institution, as from the commencement of the period for payment of the Interest.

For shareholders with shares held in custody at B3 S.A. – Brasil, Bolsa, Balcão, the Interest will be paid to the institution, which will transfer it to shareholders through the custody agents.
