AVISO AOS ACIONISTAS

A BLAU FARMACÊUTICA S.A. (“Blau” ou “Companhia”), comunica aos Senhores Acionistas que, em Reunião do Conselho de Administração realizada em 21/06/2024, deliberou-se autorizar o pagamento de R$ 25.000.000,00 (vinte e cinco milhões de reais) a título de Juros sobre Capital Próprio (“JCP”) referentes ao segundo trimestre de 2024 (“2T24”).

Excluídas as ações em tesouraria, o valor bruto a ser pago por ação é de R$ 0,1407018011, sujeito à retenção do imposto de renda na fonte à alíquota de 15%.

O efetivo pagamento será realizado em 10 de julho de 2024, com base na posição acionária em 26 de junho de 2024, sendo que a partir de 27 de junho de 2024, as ações da Companhia passarão a ser negociadas “ex-juros sobre capital próprio”.

Os JCP declarados, líquidos do imposto de renda na fonte, serão imputados aos dividendos mínimos obrigatórios relativos ao exercício de 2024, conforme artigo 9º, parágrafo 7º da Lei 9.249/95; no artigo 2°, da Resolução CVM 143/2022; e na alínea “b” do Artigo 28 do Estatuto Social da Companhia.

NOTICE TO SHAREHOLDERS

BLAU FARMACÊUTICA S.A. ("Blau" or "Company"), hereby communicates to its shareholders that, at the Board of Directors Meeting held on 06/21/2024, it was approved the distribution of Interest on Equity ("IoE") of the total gross amount of BRL 25,000,000.00 (twenty-five million reais) as Interest on Equity (“IoE”) for the second quarter of 2024 (“2Q24”).

Excluding treasury shares, the gross amount to be paid per share is R$0.1407018011, subject to withholding income tax at the rate of 15%.

The effective payment will be made on July 10, 2024, based on the shareholding position on June 26, 2024, and from June 27, 2024, the Company's shares will be traded “ex-interest on equity”.

The declared interest on equity, net of income tax, will be imputed to the minimum mandatory dividends for the 2024 fiscal year, pursuant to article 9, paragraph 7 of Law 9,249/95; Article 2 of CVM Resolution 143/2022; and in item "b" of Article 28 of the Company's Bylaws.
