FATO RELEVANTE

Remuneração Complementar aos Acionistas
3º Trimestre 2021

Em conformidade com o § 4º do art. 157 da Lei nº 6.404/1976 e com a Resolução CVM nº 44/2021, o Banco do Brasil S.A. (BB) informa que aprovou, em 04/11/2021, a distribuição de R$ 1.123.392.325,15 a título de remuneração aos acionistas sob a forma de Juros sobre Capital Próprio (JCP).

Esse valor será imputado ao dividendo mínimo obrigatório referente ao 2º semestre de 2021, nos termos do artigo 49 do Estatuto Social do Banco do Brasil S.A. e do parágrafo 7º do artigo 9º da Lei 9.249/95.

O valor será pago em 30/11/2021, tendo como base a posição acionária de 22/11/2021, sendo as ações negociadas “ex” a partir de 23/11/2021

. O procedimento de pagamento será conforme segue:

O crédito será por conta corrente, poupança-ouro ou por caixa. Os acionistas cujos cadastros estejam desatualizados terão suas remunerações retidas até a efetiva regularização de seus registros em uma das agências do BB. A regularização cadastral poderá ser efetuada mediante a apresentação de documento de identidade, CPF e comprovante de residência, se pessoa física, ou estatuto/contrato social e prova de representação, se pessoa jurídica.

Aos acionistas com ações custodiadas na CBLC – Companhia Brasileira de Liquidação e Custódia, os valores serão pagos àquela entidade, que os repassará aos acionistas titulares, por meio de seus respectivos agentes de custódia.

No caso do JCP, haverá retenção de imposto de renda na fonte sobre o valor nominal de acordo com a legislação vigente. Os acionistas dispensados da referida tributação deverão comprovar esta condição até 24/11/2021 em uma das agências do BB.

Adicionalmente, informamos que R$ 527.136.000,00 foram pagos, em 30/09/2021, a título de remuneração aos acionistas sob a forma de JCP, conforme Fato Relevante, de 27/08/2021.

Additional Remuneration to the Shareholders
3^rd Quarter 2021

In accordance with Paragraph 4^th of Article 157 of Law 6,404/1976 and CVM Resolution 44/2021, Banco do Brasil S.A. (BB) hereby informs that it approved, on November 04^th, 2021, the distribution of R$ 1,123,392,325.15 as remuneration to shareholders in the form of Interest on Own Capital (IOC).

This amount will be imputed to the minimum mandatory dividend for the second half of 2021, in accordance with article 49 of the Bylaws of Banco do Brasil S.A. and paragraph 7 of article 9 of Law 9,249/95.

The amount will be paid on November 30^th, 2021, based on the shareholding position as of November 22^nd, 2021, and the shares will be traded "ex" as of November 23^rd, 2021.

The payment procedure will be as follows:

The amount will be paid through deposit in current or savings accounts or at a branches’ cashier. Shareholders whose records are outdated will have their earnings withheld until their records are effectively regularized in one of BB's branches. The regularization of the registry can be made through the presentation of an identity document, CPF, and proof of residence if the shareholder is an individual, or statutes/contracts of incorporation and proof of representation if the shareholder is a legal entity.

To the shareholders whose shares are under custody of the CBLC -Companhia Brasileira de Liquidação e Custódia, the amount will be paid to that entity, which will pay the shareholders through their respective depositary brokers.

In the case of IOC, income tax will be withheld on the nominal value in accordance with the legislation in force. Shareholders exempt from this taxation must prove this condition until November 24^th, 2021 in one of BB's branches. anco do Brasil's branch.

Additionally, we inform that R$ 527,136,000.00 were paid, on September 30^th, 2021, as remuneration to shareholders, as IOC, according to the Material Fact released on August 27^th, 2021.
