AVISO AOS ACIONISTAS

A IOCHPE-MAXION S.A. (“Companhia”) comunica aos senhores acionistas e ao mercado que o Conselho de Administração, em reunião realizada nesta data, nos termos do artigo 24, letra “i”, do estatuto social da Companhia, aprovou a destinação do lucro do exercício findo em 31 de dezembro de 2019 a ser submetida à assembleia geral ordinária, incluindo o dividendo obrigatório previsto no estatuto social, no montante total de R$126.822.080,02, conforme indicado a seguir:

1) Em 01 de julho de 2019, o Conselho de Administração aprovou a distribuição de juros a título de remuneração sobre o capital próprio (“JCP”) no montante bruto de R$ 28.197.000,00, equivalente a R$ 0,1850616 por ação ordinária, a serem imputados ao dividendo obrigatório referente ao exercício de 2019, correspondente ao valor líquido de R$ 25.630.552,49, equivalente a R$0,1682176 por ação, tendo a data de corte para identificação dos acionistas que fazem jus aos JCP ocorrido em 05 de julho de 2019 e as ações passado a negociar “ex-proventos” a partir de 08 de julho de 2019, inclusive.

2) Assim, com base no anterior, fica aprovado, já descontados os JCP líquidos acima mencionados e ad referendum da assembleia geral ordinária, o pagamento aos acionistas da Companhia do valor de R$ 101.191.527,53, equivalente a R$ 0,6641181 por ação, a título de dividendos referentes aos resultados do exercício social de 2019. A data de corte que identificará os acionistas que farão jus ao recebimento dos dividendos será 10 de março de 2020, passando as ações de emissão da Companhia a serem negociadas na condição de “ex-dividendos” a partir de 11 de março de 2020, inclusive.

3) O pagamento dos JCP e dividendos acima mencionados será realizado em 19 de março de 2020.

Ainda, informamos que (i) os acionistas que estão com cadastro atualizado junto a Itaú Corretora de Valores S.A. (“Escriturador”) terão seus créditos efetuados em conta corrente; (ii) em relação aos acionistas custodiados na B3 S.A. - Brasil, Bolsa, Balcão (“B3”), os valores serão creditados diretamente à B3, que se encarregará de repassá-los aos acionistas por meio das respectivas corretoras de valores depositantes; (iii) os acionistas cujo cadastro encontra-se desatualizado, terão o valor a que fizer jus retido pela Companhia e mantido à disposição dos respectivos acionistas para pagamento, mediante a apresentação dos dados bancários (banco, agência e conta corrente) nas agências especializadas do Escriturador.

ANNOUNCEMENT TO SHAREHOLDERS

IOCHPE-MAXION S.A. ("Company") informs the shareholders and the market that the Board of Directors, in a meeting held on this date, pursuant to article 24, letter “i”, of the Company´s bylaws, approved the destination of the earnings for the year ended December 31, 2019 to be submitted to the annual general meeting, including the mandatory dividend provided in the bylaws, in the total amount of R$126,822,080.02, as shown below:

1) On July 1, 2019, the Board of Directors approved the distribution of equity interest (“JCP”) in the gross amount of R$ 28,197,000.00, equivalent to R$ 0.1850616 per common share, to be imputed to the mandatory dividend for the year 2019, corresponding to the net amount of R$ 25,630,552.49, equivalent to R$ 0.1662176 per share, with the cut-off date for identification of the entitled shareholders of the JCP occurred on July 5, 2019 and the shares started to negotiate “ex-earnings” from July 8, 2019, inclusive.

2) Thus, based on the above, it is approved, after discounting the aforementioned JCP and ad referendum of the annual general meeting, the payment to the Company's shareholders of R$ 101,191,527.53, equivalent to R$ 0,6641181 per share, as dividends referring to the results of the 2019 fiscal year. The cut-off date that will identify the shareholders who will be entitled to receive the dividends will be March 10, 2020, with the shares issued by the Company being traded on “ex-dividend” status as of March 11, 2020, inclusive.

3) The payment of the JCP and dividends mentioned above will be made on March 19, 2020. Also, we inform that (i) the shareholders who are registered in Itaú Corretora de Valores S.A. ("Depositary Institution") will have their credits made in checking account; (ii) in relation to the shareholders held in custody at B3 S.A. - Brasil, Bolsa, Balcão ("B3"), the amounts will be credited directly to B3, which will be passed on to shareholders through their respective depository brokerage firms; (iii) shareholders whose records are out of date, will have the amount retained by the Company and held at the disposal of the respective shareholders for payment, upon presentation of bank details (bank, agency and checking account) at the specialized agencies of the Depositary Institution.
