AVISO AOS ACIONISTAS

A BLAU FARMACÊUTICA S.A. (“Blau” ou “Companhia”), comunica aos Senhores Acionistas que, em Reunião do Conselho da Administração da Companhia realizada nesta data, deliberou-se autorizar o pagamento de R$ 45.000.000,00 (quarenta e cinco milhões reais) a título de Juros Sobre Capital Próprio (“JCP”), a ser realizado até 31/12/2025.

A primeira parcela do JCP será de R$ 18.750.000,00 (dezoito milhões, setecentos e cinquenta mil reais), referentes ao primeiro trimestre de 2025 (“1T25”). Excluídas as ações em tesouraria, o valor bruto a ser pago por ação é de R$ 0,10552635083, sujeito à retenção do imposto de renda na fonte à alíquota de 15%.

O efetivo pagamento da primeira parcela será realizado em 01 de abril de 2025, com base na posição acionária de 21 de março de 2025, sendo que a partir de 24 de março de 2025, as ações da Companhia serão negociadas “ex-juros sobre capital próprio”.

Os JCP declarados, líquidos do imposto de renda na fonte, serão imputados aos dividendos mínimos obrigatórios relativos ao exercício do primeiro trimestre de 2025, conforme artigo 9º, parágrafo 7º da Lei 9.249/95; no artigo 2°, da Resolução CVM 143/2022; e na alínea “b” do Artigo 28 do Estatuto Social da Companhia.

NOTICE TO SHAREHOLDERS

BLAU FARMACÊUTICA S.A. (“Blau” or ‘Company’) hereby informs its Shareholders that, at a meeting of the Company's Board of Directors held on this date, it was decided to authorize the payment of R$ 45,000,000.00 (forty-five million reais) as Interest on Shareholders' Equity (“IOE”), to be paid until 12/31/2025.

The first installment of the IOE will be of R$ 18,750,000.00 (eighteen million, seven hundred and fifty thousand reais), referring to the first quarter of 2025 (“1Q25”). Excluding treasury shares, the gross amount to be paid per share is R$ 0.10552635083, subject to withholding tax at the rate of 15%.

The effective payment of the first installment will be made on April 1, 2025, based on the shareholding position as of March 21, 2025, and as of March 24, 2025, the Company's shares will be traded “ex-interest on equity”.

The IOE declared, net of income tax at source, will be imputed to the mandatory minimum dividends related to the first quarter of 2025, in accordance with article 9, paragraph 7 of Law 9,249/95; article 2 of CVM Resolution 143/2022; and paragraph “b” of Article 28 of the Company's Bylaws.
