Aviso aos Acionistas

Sendas Distribuidora S.A. (“Companhia”) comunica aos seus acionistas e ao mercado em geral que, em Assembleia Geral Ordinária realizada na presente data (“Assembleia”), foi aprovada a distribuição de dividendos no montante de R$168.416.010,85 (cento e sessenta e oito milhões, quatrocentos e dezesseis mil, dez reais e oitenta e cinco centavos), equivalente a R$0,125038407679398 por ação ordinária de emissão da Companhia.

Para os detentores de ações da Companhia negociadas na B3 S.A. – Brasil, Bolsa, Balcão (“B3”), o pagamento dos dividendos será efetuado em 27 de junho de 2022, com base na posição acionária de 28 de abril de 2022 (inclusive). As ações de emissão da Companhia serão negociadas ex-dividendos na B3 a partir do dia 29 de abril de 2022 (inclusive).

No que se refere aos American Depositary Receipts negociados na New York Stock Exchange – NYSE (“ADR”), o pagamento será efetuado por meio do JPMorgan Chase Bank, N.A., banco depositário dos ADRs. Titulares de ADRs poderão obter informações a respeito do pagamento dos Dividendos no site https://adr.com.

Notice to Shareholders

Sendas Distribuidora S.A. (“Assai” or “Company”) informs its shareholders and the market in general that, at the Ordinary and Extraordinary Shareholders Meeting held on the present date (“Meeting”), it was approved the distribution of the mandatory minimum dividend in the amount of R$168,416,010.85 (one hundred and sixty-eight million, four hundred and sixteen thousand, ten reais and eighty-five cents), equivalent to R$0.125038407679398 per common share issued by the Company.

For holders of the Company's shares traded on B3 SA -Brasil, Bolsa, Balcão (“B3”), the payment of the Dividend will be made on June 27^th, 2022, based on the shareholding position of April 28^th, 2022 (including). The shares issued by the Company will be traded ex-dividends on B3 on April 29^th, 2022 (including).

As for holders of American Depositary Receipts traded on the New York Stock Exchange -NYSE (“ADR”), the payment will be made through JP Morgan Chase Bank, NA, depositary bank of the ADRs, and it shall be entitled to such payment ADRs holders. Holders of ADRs can obtain information regarding the payment of dividends on the https://adr.com.
