AVISO AOS ACIONISTAS
Comunicamos aos senhores acionistas e ao mercado em geral que o Conselho de Administração da ENGIE Brasil Energia S.A., em reunião realizada em 7 de agosto de 2024, usando a competência que lhe confere o inciso XV do art. 19 do Estatuto Social da Companhia, aprovou a distribuição de dividendos intercalares, com base nas demonstrações financeiras levantadas em 30 de junho de 2024, com fundamento no art. 204 da Lei nº 6.404/76, nos seguintes valores e condições:
a) Valor
O valor dos dividendos intercalares será de R$ 932.806.525,46 (novecentos e trinta e dois milhões, oitocentos e seis mil, quinhentos e vinte e cinco reais e quarenta e seis centavos), correspondentes a R$ 1,14324649075 por ação.
b) Negociação das Ações
As ações da Companhia serão negociadas ex-dividendos intercalares a partir de 22 de agosto de 2024.
c) Pagamento dos dividendos intercalares
Os dividendos intercalares serão pagos posteriormente, conforme definido pela Diretoria Executiva, e comunicado por meio de Aviso aos Acionistas, com base nos dados cadastrais existentes no Banco Itaú Unibanco S.A. em 21 de agosto de 2024.
Os referidos dividendos equivalem a 55% do lucro líquido distribuível - excluindo ganhos com alienação parcial dos investimentos na TAG - do primeiro semestre de 2024.

NOTICE TO SHAREHOLDERS
We hereby notify all shareholders and the market at large that the Board of Directors of ENGIE Brasil Energia S.A., meeting on August 7, 2024, pursuant to subsection XV of Article 19 of the Company’s Bylaws, approved the distribution of interim dividends based on the financial statements raised on June 30, 2024, pursuant to Article 204 of Law 6,404/76 with respect to the following values and conditions:
a) Value
The value of the interim dividends shall be R$ 932,806,525.46 (nine hundred and thirty-two million, eight hundred and six thousand, five hundred and twenty-five Brazilian reais and forty-six cents), corresponding to R$ 1.14324649075 per share.
b) Share Trading
The Company’s shares shall be traded ex-interim dividends as from August 22, 2024.
c) Payout of interim dividends
The interim dividends shall be paid subsequently, decided upon by the Board of Executive Officers and communicated through a Notice to Shareholders, according to the shareholder records on file at Banco Itaú Unibanco S.A. on August 21, 2024.
The said dividends represent 55% of distributable net income - excluding gains on partial disposal of investments in TAG - reported in the first half of 2024.
