AVISO AOS ACIONISTAS
DECLARAÇÃO E PAGAMENTO DE JUROS SOBRE O CAPITAL PRÓPRIO

Comunicamos aos Senhores Acionistas que o Conselho de Administração da Lojas Renner S.A. (“Companhia”), em reunião realizada nesta data, declarou a distribuição e aprovou o pagamento de juros sobre o capital próprio pela Companhia (“JSCP 1T23”), relativo ao exercício de 2023, no valor bruto de R$ 174.230.454,63 (cento e setenta e quatro milhões duzentos e trinta mil quatrocentos e cinquenta e quatro reais e sessenta e três centavos), correspondentes a R$ 0,182327 por ação, considerando a quantidade de 955.590.761 ações ordinárias, das quais já foram excluídas as ações em tesouraria. O pagamento do JSCP 1T23 será efetuado até a data da Assembleia Geral Ordinária de 2024, sem atualização monetária, conforme Aviso aos Acionistas a ser oportunamente divulgado ao mercado, e sujeita-se ao Imposto de Renda Retido na Fonte (IRRF) de acordo com a legislação vigente.

A importância correspondente ao pagamento dos JSCP 1T23 acima referida será imputada no cálculo do dividendo obrigatório do exercício de 2023, conforme previsto no Estatuto Social da Companhia. De acordo com a legislação vigente, farão jus aos juros deliberado nesta data os acionistas da Companhia detentores de ações em 21.03.2023. Dessa forma, a partir de 22.03.2023 (inclusive), as ações da Companhia serão negociadas “Ex - JSCP 1T23”. A Companhia solicita aos acionistas, empresas e/ou entidades que não estejam sujeitas à retenção do Imposto de Renda na Fonte, que comprovem sua condição de isento perante o escriturador (Banco Ita) da Companhia até o dia 23.03.2023.

Os juros sobre capital próprio serão pagos através da Instituição Depositária das ações de emissão da Companhia - Banco Itaú S.A. (“Banco Itaú”), mediante o crédito automático para aqueles acionistas que já tenham informado ao Banco Itao número do seu CPF/CNPJ e a respectiva conta bancária. Para os acionistas que não tenham feito essa indicação, o Banco Itaremeterá o respectivo aviso de pagamento, que deverá ser apresentado em uma de suas agências, junto com as informações referentes ao assunto, para processamento do respectivo crédito, a partir do 3° dia il aps a atualização dos dados cadastrais. Os acionistas usuários das Custias Fiduciárias terão sua remuneração creditada conforme procedimentos definidos pelas Bolsas de Valores. NOTICE TO SHAREHOLDERS
DECLARATION AND PAYMENT OF INTEREST ON EQUITY

We inform to our Shareholders that the Board of Directors of Lojas Renner S.A. (“Company”), at a meeting held today, approved the distribution and the payment of interest on equity by the Company (“Interest on Equity 1Q23”), for the fiscal year 2023 in the total amount of BRL 174,230,454.63 (one hundred and seventy-four million two hundred and thirty thousand four hundred and fifty-four reais and sixty-three cents), corresponding to BRL 0.182327 per share, considering the number of 955.590.761 common shares, from which the shares held as treasury stock have been already excluded. The payment of Interest on Equity 1Q23 will be made until the date of the Annual General Meeting of 2024, without monetary restatement, according to a Notice to Shareholders to be disclosed to the market in due course, and is subject to Withholding Income Tax (IRRF) in accordance with current legislation.

The aforesaid amount corresponding to the payment of Interest on Equity 1Q23 shall be included in the calculation of the mandatory dividend for the fiscal year 2023, pursuant to the Company’s Bylaws. All the Company’s shareholders holding shares as of March 21, 2023 shall be entitled to interest on equity in accordance with the prevailing legislation. As from March 22, 2023 (including), the Company’s shares shall be traded Ex -Interest on Equity 1Q23. The Company requests shareholders, companies and/or entities who are exempt from Income Tax Withholding, to prove their exemption status before the Company's registrar (Banco Ita) until March 23, 2023.

The interest on equity shall be paid through the Depository Institution for the shares issued by the Company - Banco Itaú S.A. (“Banco Itaú”), via an automatic credit entry for those shareholders that have already notified Banco Itaof the number of their taxpayer’s register enrollment number -CPF/CNPJ, and the respective bank account number. For those shareholders that have not provided this information, Banco Itashall effect delivery of the respective payment notification, which should be presented to one of the bank’s branches together with related information for processing of the respective credit entry, as from the third business day following the updating of the shareholders’ enrollment data. The remuneration of shareholders, users of the Fiduciary Custody systems, shall be credited according to procedures established by the Stock Exchanges.
