Aviso aos Acionistas

1ª Distribuição antecipada de Dividendos do exercício de 2023

Comunicamos aos Acionistas que o Conselho de Administração da Grendene S.A. (“Companhia”), em reunião realizada em 11 de maio de 2023, deliberou e aprovou “ad referendum” da Assembleia Geral Ordinária que apreciar o balanço patrimonial e as demonstrações financeiras referente ao exercício social a ser encerrado em 31 de dezembro de 2023, a 1a distribuição antecipada de dividendos referente ao saldo disponível no período compreendido entre 01 de janeiro até 31 de março de 2023, no valor de R$68.121.469,32 (sessenta e oito milhões cento e vinte um mil quatrocentos e sessenta e nove reais e trinta e dois centavos), cabendo aos acionistas titulares de ações ordinárias, o valor de R$0,075509523 por ação (excluídas as ações em tesouraria), que serão pagos aos acionistas a partir de 07 de junho de 2023, sem remuneração ou atualização monetária e não haverá retenção de Imposto de Renda.

Farão jus ao recebimento dos dividendos antecipados os acionistas titulares de ações ordinárias (GRND3) inscritos nos registros da Companhia em 22 de maio de 2023 (data do corte). Desta forma, as ações GRND3 passarão a ser negociadas ex-dividendo a partir de 23 de maio de 2023, na B3 S.A. - Brasil, Bolsa, Balcão.

Os acionistas receberão o crédito conforme cadastro fornecido ao Banco Bradesco S.A., instituição depositária das ações desta Companhia, e aqueles que possuem as ações custodiadas na B3 terão seus créditos repassados pelos respectivos agentes de custódia, a partir da data de início do pagamento. Os acionistas com cadastros desatualizados e que não contenham o número do CPF/CNPJ, ou opção de crédito bancário, terão os seus créditos depositados após a regularização cadastral, a qual poderá ser feita em qualquer agência do Banco Bradesco S.A.

Notice to Shareholders

First distribution of interim dividends for the year 2023

We inform the Shareholders that of the Board of Directors of Grendene S.A. (“Company”), at a meeting held on May 11, 2023, deliberated and approved “ad referendum” of the Annual General Meeting to assess the balance sheet and financial statements for the fiscal year 2023, the 1^st distribution of dividends in the amount of R$68,121,469.32 (sixty-eight million, one hundred twenty-one thousand, four hundred sixty-nine reais and thirty-two cents). The shareholders of common shares will receive an interim dividend of R$0.075509523 per share (excluding treasure shares), referring to the period up to March 31, 2023, that will be paid from June 7, 2023, without remuneration or monetary restatement and no withdrawal tax will be imposed on the dividend.

The dividends will be payable to stockholders in the Company’s books of record on May 22, 2023 (the cut-off date). Thus, Grendene common shares (GRND3) will be traded ex-dividend on May 23, 2023 on the B3 S.A. - Brasil, Bolsa, Balcão (São Paulo Stock Exchange).

Shareholders will have their credits available on the date of the start of the payment of this right, in accordance with their current account and bank domicile supplied to Banco Bradesco S. A., the depositary institution of the shares of this Company, and those who hold the shares held in custody at B3 will have their credits transferred by the respective custodian agents, as of the date of the start of payment. Shareholders with outdated registrations that do not contain the CPF or CNPJ number or bank credit option will have their credits deposited after the cadastral regularization, which may be done at any branch of Banco Bradesco S.A.
