AVISO AOS ACIONISTAS

Belo Horizonte, 25 de março de 2019 – O Instituto Hermes Pardini S.A. (B3: PARD3) (“Companhia”) comunica a seus acionistas que, conforme aprovado pelo Conselho de Administração da Companhia nesta data, procederá ao pagamento de juros sobre o capital próprio em 15 de abril de 2019, no montante bruto total de R$10.901.108,16 (dez milhões novecentos e um mil cento e oito reais e dezesseis centavos), equivalentes a R$0,08374605756 por ação, com retenção na fonte de 15% de Imposto de Renda, exceto para os acionistas que sejam comprovadamente imunes ou isentos, sendo certo que os acionistas imunes ou isentos do Imposto de Renda deverão enviar à Companhia, no endereço indicado ao final1, até 29 de março de 2019, a documentação comprobatória pertinente.

Farão jus ao pagamento os acionistas constantes da base acionária da Companhia em 28 de março de 2019. A partir de 29 de março de 2019 (inclusive), as ações de emissão da Companhia serão negociadas “ex” estes juros sobre capital próprio.

NOTICE TO SHAREHOLDERS

Belo Horizonte, March 25, 2019 – Instituto Hermes Pardini S.A. (B3: PARD3) (“Company”), in compliance with the Brazilian Securities and Exchange Commission ("CVM") Ruling nº 358, dated January 3rd, 2002, announces to its shareholders that the Company's Board of Directors, on this date, approved the declaration and the payment of interest on own capital (Juros Sobre Capital Próprio) to its shareholders on April 15, 2019, in the total gross amount of R$10,901,108.16 (ten million, nine hundred and one thousand, hundred and eight reais and sixteen cents), equivalent to R$0.08374605756 per share, with a withholding of 15% (fifteen percent) of Withholding Income Tax (Imposto de Renda Retido na Fonte), except for shareholders who are immune or exempt, considering that shareholders who are immune or exempt from Income Tax must submit to the Company, at the address indicated at the end¹ until March 29, 2019, the documentation proving the exemption or immunity.

Shall be entitled to the interest on own capital the shareholders included in the Company's shareholding on March 28, 2019. From March 29, 2018 (included), the shares issued by the Company will be negotiated "ex" this interest on own capital.
