AVISO AOS ACIONISTAS
PAGAMENTO DE JUROS SOBRE O CAPITAL PRÓPRIO

Comunicamos aos senhores acionistas que o Conselho de Administração da Cia. Hering (“Companhia”), em reunião realizada em 30/05/2018, aprovou, ad referendum da Assembleia Geral Ordinária, a distribuição de juros sobre o capital próprio, no montante de R$ 39.991.561,96 (trinta e nove milhões, novecentos e noventa e um mil, quinhentos e sessenta e um reais e noventa e seis centavos), equivalente a R$ 0,2471 por ação. Haverá retenção do imposto de renda na fonte de acordo com a legislação vigente, exceto para os acionistas dispensados da referida tributação. O valor pago como juros sobre o capital próprio será imputado aos dividendos obrigatórios do exercício do social de 2018. O pagamento dos juros sobre o capital próprio será realizado aos acionistas na data de 27/06/2018, utilizando como base de cálculo a posição acionária de 07/06/2018. As ações da Companhia serão negociadas na condição “ex” juros sobre o capital próprio, a partir de 08/06/2018.

Os juros sobre capital próprio serão pagos através da Instituição Depositária das ações de emissão da Companhia – Banco Itaú S.A., mediante o crédito automático para aqueles acionistas que já tenham informado ao Banco Itaú o número do seu CPF/CNPJ e a respectiva conta bancária. Para os acionistas que não tenham feito essa indicação, o Banco Itaú remeterá o respectivo aviso de pagamento, que deverá ser apresentado em uma de suas agências, junto com as informações referentes ao assunto, para processamento do respectivo crédito, a partir do 3° dia útil após a atualização dos dados cadastrais. Aos acionistas que tiverem as ações depositadas na B3, os juros sobre o capital próprio serão pagos por intermédio dos seus agentes de custódia.

NOTICE TO SHAREHOLDERS
PAYMENT OF INTEREST ON EQUITY

We hereby notify the shareholders that the Board of Directors of Cia. Hering (“Company”), at the meeting held on May 30, 2018, approved, ad referendum of the Annual Shareholders' Meeting, the distribution of interest on equity in the amount of thirty-nine million, nine hundred and ninety-one thousand, five hundred and sixty-one Reais and ninety-six cents (R$39,991,561.96), equivalent to R$0.2471 per share. Income tax shall be withheld at source in accordance with the applicable law, except for shareholders exempted from said taxation. The amount paid as interest on equity shall be attributed as mandatory dividends of the fiscal year 2018. The interest on equity shall be paid by means of the Depositary Institution of the shares issued by the Company – Banco Itaú S.A., by means of automatic credit to those shareholders that informed to Banco Itaú their number of CPF/CNPJ and the respective bank account. For shareholders that failed to provide such information, Banco Itaú shall send the respective payment notice, which shall be presented at one of its branches, together with the information on the subject, for processing of the respective credit, as from the 3rd business day after record data update.
