AVISO AOS ACIONISTAS

PAGAMENTO DE JUROS SOBRE CAPITAL PRÓPRIO E INFORMAÇÕES SOBRE OS DIVIDENDOS APROVADOS NA AGOE DE 2021

Comunicamos aos senhores acionistas do Atacadão S.A. (B3: CRFB3) (“Grupo Carrefour Brasil” ou “Companhia”) que, na Reunião do Conselho de Administração realizada nesta data, foi aprovado o pagamento de juros sobre capital próprio aos acionistas da Companhia, no valor bruto de R$ 175.000.000,00, equivalente ao valor de R$ 0,088148225 por ação em circulação.

O pagamento de juros sobre capital próprio será efetuado de acordo com os seguintes termos:

Em relação ao Aviso aos Acionistas divulgado pela Companhia em 13 de abril de 2021, vimos comunicar aos senhores acionistas: (i) a modificação do valor por ação dos dividendos aprovados, de R$ 0,382372952 para R$ 0,382361396 por ação de emissão da Companhia, mantendo-se o montante total de dividendos a serem distribuídos de R$759.099.167,86, tendo em vista a variação na quantidade de ações emitidas pela Companhia em decorrência dos exercícios de opções de compra de ações, no âmbito do Plano de Opção de Compra de Ações da Companhia (Outorga Única); e (ii) que os referidos dividendos serão pagos pela Companhia, em uma única parcela, no dia 24 de junho de 2021, na proporção da participação de cada acionista, observando-se a data de corte da base acionária e demais condições mencionadas no Aviso aos Acionistas publicado em 13 de abril de 2021.

NOTICE TO SHAREHOLDERS

PAYMENT OF INTEREST ON SHAREHOLDERS’ EQUITY AND INFORMATION ON THE DIVIDENDS APPROVED AT THE AGM OF 2021

We hereby inform the shareholders of Atacadão S.A. (B3: CRFB3) (“Grupo Carrefour Brasil” or “Company”) that, on the Board of Directors’ meeting held on this date, the board has approved the payment of interest on equity to the Company’s shareholders in the gross amount of R$ 175,000,000.00, equivalent to R$ 0.088148225 per outstanding share.

The payment of interest on equity will be made in accordance with the following terms:

In relation to the Notice to Shareholders disclosed on April 13, 2021, we hereby inform the shareholders of the Company: (i) the change in the amount per share of the dividends mentioned therein, from R$ 0,382372952 to R$ 0,382361396 per share issued by the Company, maintaining the total amount of dividends to be distributed of R$ R$759,099,167.86, due to the variation in the number of shares issued by the Company as a result of the exercise of options, within the scope of the Company’s Single Grant Stock Option Plan; and (ii) that such dividends will be paid in one single installment, on June 24, 2021, at the percentage of each shareholder’s interest, subject to the shareholding cutoff date and other conditions referred to in the Notice to Shareholders disclosed on April 13, 2021.

AVISO AOS ACIONISTAS

JUROS SOBRE CAPITAL PRÓPRIO – ALTERAÇÃO DA DATA DE PAGAMENTO

Comunicamos aos senhores acionistas do Atacadão S.A. (B3: CRFB3) (“Grupo Carrefour Brasil” ou “Companhia”) que, por questões operacionais, o pagamento dos juros sobre capital próprio informado pela Companhia por meio do Aviso aos Acionistas de 11 de junho de 2021 (“Aviso aos Acionistas”), será realizado no dia 30 de junho de 2021, e não mais no dia 24 de junho de 2021.

As demais informações constantes do Aviso aos Acionistas ficam, desde já, ratificadas, incluindo a data de pagamento dos dividendos, que permanece no dia 24 de junho de 2021.

NOTICE TO SHAREHOLDERS

INTEREST ON EQUITY – CHANGE OF PAYMENT DATE

We hereby inform the shareholders of Atacadão S.A. (B3: CRFB3) (“Grupo Carrefour Brasil” or “Company”) that, due to operational reasons, the payment of the interest on equity informed by the Company in the Notice to Shareholders of June 11, 2021 (“Notice to Shareholders”), will be made on June 30, 2021, instead of June 24, 2021.

All the other information mentioned in the Notice to Shareholders are hereby ratified, including the date of payment of dividends, which remains as June 24, 2021.
