AVISO AOS ACIONISTAS

A KLABIN S.A. (“Klabin” ou "Companhia") comunica aos seus acionistas que, em Reunião do Conselho de Administração, realizada em 14 de dezembro de 2023, foi aprovado o pagamento de juros sobre capital próprio (“JCP”) complementares relativos ao exercício de 2023, conforme informações detalhadas a seguir:

1.JUROS SOBRE CAPITAL PRÓPRIO

Valor bruto da distribuição: R$ 171.000.000,00 (cento e setenta e um milhões de reais)

Valor correspondente às ações ordinárias e preferenciais, na razão de R$ 0,03099714009/ação

Valor correspondente às Units, à razão de R$ 0,15498570045/Unit

2.PAGAMENTO

A Companhia esclarece que, conforme deliberado na mesma ocasião, (i) o pagamento dos juros sobre capital próprio ora declarados será realizado em 26 de fevereiro de 2024; e (ii) as ações passarão a ser negociadas “ex-juros sobre capital próprio” a partir de 22 de dezembro de 2023.

3.IMPOSTO DE RENDA

Como regra geral, há a retenção de 15% imposto de renda na fonte sobre JCP, de acordo com a legislação tributária brasileira. Exceto para os acionistas que estiverem sujeitos à tributação diferenciada ou sejam dispensados da referida tributação.

4.INSTRUÇÕES QUANTO AO CRÉDITO

4.1 Os acionistas cujas ações estão depositadas em instituições prestadoras dos serviços de custódia de valores mobiliários terão seus dividendos creditados conforme procedimentos adotados pelas instituições depositárias.

4.2 Demais acionistas terão seus créditos disponíveis de acordo com o domicílio bancário fornecido ao Itaú Unibanco S.A., instituição responsável pela escrituração das ações da Companhia.

4.2.1 Acionistas com Cadastro Desatualizado

Aos acionistas cujo cadastro não contenha a inscrição do número do CPF/CNPJ ou indicação do Banco/Agência e Conta Corrente, os dividendos serão creditados a partir do 3º dia útil contado da data da atualização, desde que os interessados providenciem a regularização de seu cadastro, pessoalmente, em uma das agências do Banco Itaú Unibanco S.A.. O pagamento somente será liberado após efetivação dos devidos registros nos arquivos eletrônicos do referido Banco.

NOTICE TO SHAREHOLDERS

KLABIN S.A. (“Klabin” or "Company"), announces to its shareholders that, in the Board of Directors Meeting, held on December 14^th, 2023, was approved the payment of complementary interest on capital (“IOC”) for the 2023 financial year, as detailed information below:

1.INTEREST ON CAPITAL

Total value of the distribution: R$ 171,000,000.00 (One hundred and seventy-one million reais)

Value corresponding to common and preferred shares, at the ratio of R$ 0.03099714009 per share

Value corresponding to the Units, at the ratio of R$ 0.15498570045 per Unit

2.PAYMENT

The Company clarifies that, as decided on the same occasion, (i) the payment of interest on capital hereby declared will be paid on February 26^th, 2024; and (ii) the shares shall be traded in the Stock Exchange as “Ex- interest on capital” from December 22^nd, 2023.

3.INCOME TAX

As a rule, there is a 15% withholding income tax on IOC, in accordance with Brazilian tax legislation.

Except for shareholders who are subject to differentiated taxation or are exempt from such taxation.

4.INSTRUCTIONS FOR THE CREDIT

4.1 Shareholders whose shares are kept by institutions providing securities custody services shall receive their dividends in accordance with procedures adopted by such institutions.

4.2 Other shareholders will have its credits available in accordance with the bank domicile provided to Itaú Unibanco S.A., the institution responsible for the bookkeeping of the Company's shares.

4.2.1 Shareholders with Outdated Registration

To shareholders whose registration does not contain the number of CPF/CNPJ or indication of Bank/Agency and Checking Account, the dividends will be credited as of the 3^rd business day counted from the date of the request, as long as the interested parties provide the regularization of their registration form, in person, at one of the branches of Banco Itaú Unibanco S.A.. The payment will only be effected after due registrations in the electronic files of the Bank referred.
