AVISO AOS ACIONISTAS

Juros sobre capital próprio

São Paulo, 9 de dezembro de 2019 - A São Martinho S.A (B3: SMTO3), (“Companhia”), comunica que em Reunião do Conselho de Administração realizada nesta data, foi aprovado, o pagamento de juros sobre capital próprio (“JCP”), a serem deduzidos dos dividendos do exercício social a ser encerrado em 31.3.2020, no valor bruto de R$ 120.000.000,00 (cento e vinte milhões) equivalente a R$ 0,34464282 por ação, com retenção de 15% (quinze por cento) de Imposto de Renda na Fonte, resultando em JCP líquidos de R$ 102.000.000,00 (cento e dois milhões) exceto para os acionistas que sejam comprovadamente imunes ou isentos, aos quais não haverá retenção.

O montante dos JCP deverá ser pago aos acionistas no dia 23.12.2019, sem qualquer atualização monetária ou remuneração correspondente entre a presente data e data do seu efetivo pagamento.

Terão direito ao recebimento de JCP os acionistas constantes da posição acionária verificada em 12.12.2019, sendo as ações negociadas ex juros sobre capital próprio a partir de 13.12.2019.

Aos acionistas custodiados no Banco Bradesco S.A., os créditos serão disponibilizados de acordo com o domicílio bancário fornecido à instituição financeira, a partir da data de início do pagamento dos JCP.

Aos acionistas custodiados na B3 S.A. - Brasil. Bolsa. Balcão, os JCP serão pagos e repassados por intermédio dos agentes de custódia.

NOTICE TO SHAREHOLDERS

Interest on Equity

São Paulo, December 9, 2019 - São Martinho S.A. (B3: SMTO3), (“Company”) announces that the Board of Directors Meeting held on the date hereof approved the payment of interest on equity, which will be deducted from the dividends for the fiscal year ending on March 31, 2020, in the gross amount of one hundred twenty million reais (R$120,000,000.00), equivalent to R$0.34464282 per share, subject to Income Tax Withheld at Source of fifteen percent (15%), resulting in net IOE of one hundred and two million reais (R$102,000,000.00), except for shareholders that duly demonstrate their tax immunity or exemption status, in which cases no amounts will be withheld.

The amount of IOE will be paid to shareholders by December 23, 2019, without any inflation adjustment or corresponding remuneration between the date hereof and the date of effective payment.

Shareholders of record on December 12, 2019 will be entitled to receive the IOE, and the shares will trade ex-IOE as from December 13, 2019.

For shareholders with shares held in custody at Banco Bradesco S.A., payment will be credited based on the bank account information provided to the financial institution, as from the commencement of the period for payment of the IOE.

For shareholders with shares held in custody at B3 S.A. – Brasil, Bolsa, Balcão, the IOE will be paid to the institution, which will transfer it to shareholders through the custody agents.
