AVISO AOS ACIONISTAS

Sendas Distribuidora S.A. (“Companhia”) comunica aos seus acionistas e ao mercado em geral que o Conselho de Administração da Companhia aprovou nesta data, ad referendum da Assembleia Geral Ordinária a ser realizada em 2025, o pagamento de juros sobre capital próprio, referente ao período até 31 de dezembro de 2024, no montante bruto de R$ 125.000.000,00 (cento e vinte e cinco milhões de reais), correspondente a R$ 0,09270138645907 por ação ordinária, excluindo ações mantidas em tesouraria (“JCP”), e dele será deduzido o valor relativo ao Imposto de Renda na Fonte (IRRF), conforme legislação em vigor, exceto para os acionistas comprovadamente isentos e/ou imunes. Referidos JCP serão imputados aos dividendos a serem deliberados na Assembleia Geral Ordinária a ser realizada em 2025, inclusive o dividendo mínimo obrigatório relativo ao exercício social encerrado em 31 de dezembro de 2024.

O pagamento de JCP às ações negociadas na B3 S.A. - Brasil, Bolsa, Balcão, bem como às demais ações escrituradas perante a BTG Pactual Serviços Financeiros S/A DTVM, será efetuado em 28 de fevereiro de 2025, com base na posição acionária do dia 6 de janeiro de 2025, respeitadas as negociações realizadas até essa data, inclusive. As ações de emissão da Companhia passarão a ser negociadas ex-direitos ao recebimento dos JCP a partir de 7 de janeiro de 2025, inclusive.

No que se refere aos American Depositary Receipts negociados na New York Stock Exchange - NYSE (“ADR”), o pagamento será efetuado por meio do JPMorgan Chase Bank, N.A., banco depositário dos ADRs. Titulares de ADRs poderão obter informações a respeito do pagamento de JCP no site https://adr.com.

NOTICE TO SHAREHOLDERS

Sendas Distribuidora S.A. (“Company”) hereby informs to its shareholders and the market in general that the Company's Board of Directors has approved on this date, ad referendum of the Annual General Shareholders' Meeting to be held in 2025, the payment of interest on equity (juros sobre o capital próprio), regarding the period until December 31, 2024, in the gross amount of R$ 125,000,000.00 (one hundred and twenty-five million reais) corresponding to R$ 0.09270138645907 per common share, excluding shares held in treasury (“JCP”), from which will be deducted the amount corresponding to Withholding Income Tax (IRRF), in accordance to the law, with the exception to the shareholders who are immune and/or exempt. The JCP will be charged to the dividends to be resolved on the Annual General Shareholders' Meeting to be held in 2025, including the minimum mandatory dividend related to the fiscal year ending on December 31, 2024.

The payment of JCP over the shares traded on B3 S.A. - Brasil, Bolsa, Balcão, as well as to the other shares registered with BTG Pactual Serviços Financeiros S/A DTVM, shall be done on February 28, 2025, based on the shareholding position of January 6, 2025, respecting the trades made up this date, including this date. The shares issued by the Company will be traded ex-rights to receive JCP as of January 7, 2025, including this date.

Regarding the American Depositary Receipts traded on the New York Stock Exchange - NYSE (“ADR”), the payment will be made through JPMorgan Chase Bank, N.A., the ADR depositary bank. Holders of ADRs can obtain information regarding the payment of JCP at https://adr.com.
