Aviso aos Acionistas
Distribuição de Juros sobre Capital Próprio

A CIELO S.A. (“Companhia”) (B3: CIEL3 / OTCQX: CIOXY) comunica aos seus acionistas e demais interessados que o Conselho de Administração aprovou nesta data, ad referendum da Assembleia Geral Ordinária da Companhia a ser realizada para a aprovação do resultado do exercício social de 2019, a distribuição de Juros sobre Capital Próprio (“JCP”) complementares no montante de R$24.176.783,02 (vinte e quatro milhões, cento e setenta e seis mil, setecentos e oitenta e três Reais e dois centavos), relativos ao 4° trimestre de 2019.

Tais JCP estão sujeitos à incidência de imposto de renda conforme aplicável a cada caso, os quais serão distribuídos e pagos aos acionistas nas proporções de suas participações no capital social da Companhia, sendo que não farão jus aos JCP as ações mantidas em tesouraria. O valor final por ação dos JCP deliberado nesta data é de R$0,00891237857.

Ainda, os JCP serão pagos aos acionistas no dia 13 de fevereiro de 2020, com base na posição acionária de 30 de janeiro de 2020, sendo as ações da Companhia negociadas ex juros sobre capital próprio a partir de 31 de janeiro de 2020, inclusive. Referidos JCP serão imputados ao dividendo mínimo obrigatório referente ao exercício social findo em 31 de dezembro de 2019.

O pagamento ocorrerá por meio da instituição depositária das ações – Banco Bradesco S.A. (“Banco Bradesco”), mediante crédito automático para acionistas correntistas e acionistas que já tenham informado ao Banco Bradesco o número de seu CPF ou CNPJ e a respectiva conta bancária. Os acionistas que não tenham feito essa indicação deverão se dirigir a uma agência do Banco Bradesco para atualização dos dados cadastrais. Informamos que os acionistas detentores de ações custodiadas na B3 S.A. – Brasil, Bolsa, Balcão, receberão os JCP por intermédio de seus agentes de custódia e os acionistas detentores de ADRs (American Depositary Receipts) receberão os JCP por meio do Deutsche Bank Trust Company Americas, instituição depositária contratada.

Cabe destacar que os JCP informados neste Aviso aos Acionistas deverão ser somados ao valor de R$57.100.000,00 (cinquenta e sete milhões e cem mil reais), deliberado em reunião do Conselho de Administração realizado em 20 de dezembro 2019, perfazendo então o montante em JCP de R$81.276.783,02 (oitenta e um milhões, duzentos e setenta e seis mil e setecentos e oitenta e três Reais e dois centavos) relativos ao 4° trimestre de 2019.

Distribution of Interest on Shareholders’ Equity

CIELO S.A. (“Company”) (B3: CIEL3 / OTCQX: CIOXY) announces to its shareholders and other interested parties that the Board of Directors approved today, ad referendum of the Annual Shareholders’ Meeting of the Company to be held to approve the results of the fiscal year of 2019, the distribution of additional Interest on Shareholders’ Equity totaling twenty-four million, one hundred and seventy-six thousand, seven hundred and eighty-three Reais and two cents (R$24,176,783.02), regarding the fourth quarter of 2019.

This Interest on Shareholders’ Equity is subject to income tax applicable to each case, which will be distributed and paid to shareholders in proportion to their interest in the Company’s share capital. The shares held in treasury will not be entitled to the ISE. The final Interest on Shareholders’ Equity per share is of R$0.00891237857.

In addition, the Interest on Shareholders’ Equity will be paid to the shareholders on February 13, 2020, based on the shareholding base of January 30, 2020. The Company’s shares will be traded ex-interest on shareholders’ equity as of January 31, 2020, including this date. The Interest on Shareholders’ Equity will be deducted from the minimum mandatory dividend for the fiscal year ended December 31, 2019.

The payment will be made through the depositary institution of the shares – Banco Bradesco S.A. (“Banco Bradesco”), through an automatic credit to shareholders who have a checking account at Banco Bradesco and, also, to shareholders who provided to Banco Bradesco their Individual or Corporate Taxpayers’ ID and their bank account information. Shareholders who have not provided their bank account information must go to a Bradesco Agency to update their registration data. The shareholders with shares held in custody at B3 S.A. – Brasil, Bolsa, Balcão will receive the Interest on Shareholders’ Equity through their custody agents. Holders of American Depositary Receipts (ADRs) will receive the Interest on Shareholders’ Equity through Deutsche Bank Trust Company Americas, depositary institution hired.

It's worth mentioning that this figure will be added to fifty-seven million and one hundred thousand Reais (R$57,100,000.00), resolved at the meeting of the Board of Directors held on December 20, 2019, totaling eighty-one million two hundred and seventy-six thousand seven hundred and eighty-three Reais and two cents (R$81,276,783.02) distributed as Interest on Shareholders’ Equity related to the 4th quarter of 2019.
