AVISO AOS ACIONISTAS

Sendas Distribuidora S.A. (“Companhia”) comunica aos seus acionistas e ao mercado em geral que o Conselho de Administração da Companhia aprovou nesta data, ad referendum da Assembleia Geral Ordinária a ser realizada em 2022 destinada a apreciar as demonstrações financeiras do exercício social encerrado em 31 de dezembro de 2021, o pagamento de juros sobre capital próprio, referente ao período compreendido entre 01 de janeiro e 31 de dezembro de 2021, no montante bruto de R$63.330.477,00 (sessenta e três milhões, trezentos e trinta mil, quatrocentos e setenta e sete reais) equivalente a R$ 0,0470334275221436 por ação ordinária (“JCP”), e dele será deduzido o valor relativo ao Imposto de Renda na Fonte (IRRF), conforme legislação em vigor, exceto para os acionistas comprovadamente isentos e/ou imunes. Referidos JCP serão imputados ao valor do dividendo mínimo obrigatório relativo ao exercício social encerrado em 31 de dezembro de 2021.

O pagamento de JCP às ações negociadas na B3 S.A. – Brasil, Bolsa, Balcão, bem como às demais ações escrituradas perante a Itaú Corretora de Valores S.A., será efetuado em 14 de outubro de 2021, com base na posição acionária do dia 5 de outubro de 2021 (inclusive). As ações de emissão da Companhia passarão a ser negociadas ex-juros a partir de 6 de outubro de 2021.

No que se refere aos American Depositary Receipts negociados na New York Stock Exchange – NYSE (“ADR”), o pagamento será efetuado por meio do JPMorgan Chase Bank, N.A., banco depositário dos ADRs. Titulares de ADRs poderão obter informações a respeito do pagamento de JCP no site https://adr.com.

NOTICE TO SHAREHOLDERS

Sendas Distribuidora S.A. (“Company”) hereby informs its shareholders and the market in general that the Board of Directors approved, on this date, ad referendum of the Company’s Annual General Shareholders’ Meeting to be held in 2022, destined to appreciate the financial statements referred to the fiscal year ending on December 31^st, 2021, the payment of interest on equity referred to the period between January 1^st, 2021 and December 31^st 2021, in the gross amount of R$63,330,477.00 (sixty-three million, three hundred thirty thousand, four hundred seventy-seven reais), corresponding to R$ 0.0470334275221436 per common share (“Interest on Equity”), from which the amount related to withholding taxes (“IRRF” – “Imposto de Renda Retido na Fonte”) will be deducted, pursuant to the law in force, except with respect to shareholders that are immune and/or exempt. The Interest on Equity will be charged to the amount of the minimum mandatory dividend related to the fiscal year ended on December 31^st, 2021.

The payment of Interest on Equity to the shares traded on B3 S.A. - Brasil, Bolsa, Balcão, as well as other shares registered with Itaú Corretora de Valores S.A., shall occur on October 14^th, 2021, based on the shareholders’ position of October 5^th, 2021 (including such date). The shares issued by the Company shall be traded ex-interest as from October 6^th, 2021.

With respect to the American Depositary Receipts representing the Company's common shares traded on the New York Stock Exchange – NYSE (“ADR”), the payment shall be one by JPMorgan Chase Bank, N.A., the depositary bank of the ADRs. Holders of ADRs can obtain information regarding the payment of Interest on Equity at https://adr.com.
